M&A Analyst - Ethos Specialty Insurance Services LP

About Ethos Specialty Insurance Services LLC

This is an opportunity to join Ethos Specialty, a Bishop Street Underwriters Company.

Ethos Specialty Insurance Services is a specialty Managing General Underwriter (MGU) that partners with carriers to underwrite tailored insurance programs across North America. Ethos benefits from deep capabilities and underwriting expertise and is able to match risk to multiple sources of capital, providing the highest quality, independent underwriting service to its industry partners and capital providers. Ethos currently has three programs under the M&A insurance space.

The M&A Underwriting Team – What do we do?

In connection with the purchase or sale of a company, the seller typically makes a series of representations and warranties concerning the condition of the company and its assets, to allocate risks between the buyer and seller. As part of the sale process, the buyer or seller may seek representations and warranties (R&W) insurance to help resolve risk allocation differences and reduce the need for an escrow of the transaction proceeds. The Ethos M&A underwriting team provides R&W insurance against breaches of representations and warranties in the transaction agreement after an in-depth underwriting process. Among other benefits, R&W insurance simplifies complex negotiations during the sale process and allows for a less complicated consideration structure.

Job Purpose:

The Analyst will join Ethos and will be primarily responsible for assisting the M&A Team in coordinating the underwriting process and providing transactional liability solutions. Responsibilities include:

  • Coordinate with external legal counsel and develop relationships with M&A insurance brokers, attorneys, and deal principals.
  • Collect and analyze data related to submissions, deals, and policies.
  • Draft invoices, expense agreements, non-binding indication letters, and other documents.
  • Review underwriting submissions and summarize key points for team review.
  • Assist in underwriting for Representations & Warranties Insurance products for buy-side and sell-side clients.
  • Conduct preliminary reviews of Purchase Sale Agreements, Disclosure Schedules, and Diligence Reports to evaluate risks and draft indication letters.
  • Assess and execute Non-Disclosure Agreements, Non-Reliance Letters, and Access letters.
  • Attend due diligence calls and transcribe deal-specific notes.

Competencies/Requirements:

  • 1-2 years of experience in insurance, banking, or accounting.
  • Bachelor's degree required.
  • Strong understanding of financial statements.
  • Experience handling large data sets.
  • Excellent written and oral communication skills.
  • Strong interpersonal skills and team collaboration.
  • Ability to work in a fast-paced environment, including during short timelines and off-hours.
  • Detail-oriented and independent work capabilities.
  • Keen interest in M&A.

Technical Skills & Knowledge:

  • Proficiency in Microsoft Office Suite (Excel, Word, Outlook, PowerPoint, Teams), Adobe Acrobat.
