Job summary

Ebury Toronto Office is seeking a Commercial Legal Counsel to guide Canada and US matters within a fast-growing fintech environment. You’ll draft, negotiate, and advise on commercial contracts, IP, and regulatory issues, while supporting corporate governance and cross-border initiatives.

The role sits in a hybrid team reporting to the Chief Legal Officer in London, offering a high-performance culture, mentorship, and significant exposure to global strategy.

Qualifications

  • Law degree in Canada or the United States required.
  • 1+5 years of qualified experience in a legal role preferred.
  • Interest in fintech and financial products.
  • Experience in a regulated company is desirable.
  • Experience in the United States market is desirable.

Responsibilities

  • Contribute to design and expansion into new markets, including US launch.
  • Draft and negotiate third-party contracts, IP licensing, and real estate reviews.
  • Advise on corporate structuring to support a global footprint.
  • Manage day-to-day legal matters in Canada and the USA; support global team.
  • Support financial services regulatory matters across Canada and the US.
  • Oversee governance and entity maintenance for North American entities.
  • Manage external counsel and assist disputes team as needed.

Legal Counsel - Commercial
Ebury Toronto Office - (Hybrid: 4 days office / 1 day WFH)

The Legal Department at Ebury is core to the functioning of the Ebury Group. It provides front-line advice to all parts of the Ebury Group on legal, regulatory and governance matters which contribute to Ebury’s growth every day.

We are looking for an enthusiastic and driven commercial or corporate lawyer who is keen to work in a fast-paced, dynamic and growing company which is focused on building the Ebury brand. The successful candidate will provide high quality legal advice to key stakeholders in Canada, the United States and overseas, and be pivotal to Ebury’s development on a global scale. This is a commercially-focused position that will enable the successful candidate to turn their hand to a wide variety of matters and develop across the full breadth of the Ebury Group's activities. The person who fills this role will be a part of the global legal team and will report to the Chief Legal Officer based in London.

Key responsibilities include:
  • contributing to the design and implementation of new products and expansion into new markets, with a particular focus on the launch in the United States;
  • drafting and negotiating third party contracts including sports sponsorship, partnership and related commercial contracts, negotiating intellectual property agreements, including licensing and brand-related arrangements, and review of leases/ real estate contracts;
  • advising on corporate structuring matters to maintain and develop Ebury’s corporate structure given its global footprint in an efficient manner, having regarding to regulatory, tax and other relevant matters;
  • day-to-day responsibility for legal matters in Canada and the USA , as well as supporting the global legal team as a whole;
  • supporting the business on financial services regulatory matters across Canada and the United States, including licensing and registration (such as money services business and money transmitter requirements), safeguarding and conduct matters, working closely with the Compliance and Corporate Development teams;
  • supporting corporate governance and entity management for Ebury's North American entities, including board and shareholder resolutions, corporate filings and subsidiary maintenance;
  • managing external counsel and supporting the disputes team as required for matters in North America;
  • supporting the Front Office, Risk Department, HR Department and others in efficiently resolving disputes;
  • working with HR, Operations and other departments to resolve day-to-day queries;
  • representing Ebury in interaction with clients, counter parties, banking partners, industry bodies and other third parties;
  • preparing templates, playbooks, procedures and self-service material and participating in the provision of relevant training and awareness programmes; and
  • supporting the Chief Legal Officer in delivering the Legal Department’s objectives generally, sharing knowhow and training and development of less experienced members of the team.
Key skills requirements include:
  • a proactive mindset and an ability to communicate effectively in practical terms with stakeholders at all levels of the Ebury Group;
  • law degree in Canada or the United States;
  • at least 5 years of qualified experience, either in private practice or in house;
  • interest in the fintech sector and financial products;
  • fluency in French or Spanish desirable but not required;
  • experience working in the United States is desirable;
  • experience working in a regulated company/ institution is desirable;
  • an ability in a fast paced environment to prioritise and manage a wide range of competing priorities (with support from other team members and external counsel where necessary); and
  • as this will initially be a standalone role in North America, the successful candidate must be a self-starter who is able to work independently in a growing office while integrating effectively with the broader global legal team.
