Job summary

Hammond Power Solutions Inc. in Guelph, Ontario, is seeking a Legal Counsel to support our global operations.

The role provides practical, solutions‑oriented legal advice across commercial, governance, compliance, employment, litigation, securities, and strategic matters to help HPS grow as a global company. You will draft and negotiate contracts, manage cross‑border matters Canada–US–Mexico, assist with mergers and acquisitions, and provide risk‑based guidance to internal teams.

Qualifications

  • 2–5 years of related work experience.
  • JD or equivalent; licensed in Ontario and in good standing with the Law Society of Ontario.
  • Experience supporting manufacturing, industrial, technology, infrastructure, energy, or cross-border matters.
  • Strong drafting, negotiation, analytical, research, and communication skills.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Willingness to travel periodically across Canada, the US and Mexico.

Responsibilities

  • Draft, review, negotiate, and advise on commercial agreements and business arrangements.
  • Provide legal support to global transformer and power solutions businesses across Canada, the US, Mexico, and India.
  • Partner with stakeholders to identify and mitigate legal and commercial risks and support templates, policies, and processes.
  • Support governance frameworks, board matters, public disclosures, and enterprise compliance programs.
  • Assist with litigation, regulatory matters, investigations, insurance claims, and employment-related matters.
  • Assist with mergers, acquisitions, divestitures, joint ventures, due diligence, and post‑closing integration.
  • Develop and deliver legal and compliance training for business teams, promoting proactive risk management.

For the past century, HPS has grown to deliver electrical power solutions to global markets and provides solutions for complex applications like, mining, rectifier, drives, traction, wind, solar and many other electrical power applications. The world relies on HPS to continually conceive and produce state-of-the-art transformer technology. We currently have an opening for a Legal Counsel, come grow with us!

The Legal Counsel provides practical, solutions-oriented legal advice across commercial, operational, governance, compliance, employment, litigation, securities, and strategic matters to support HPS's global business objectives. The role partners with stakeholders across the organization to mitigate legal and commercial risk, enable business decisions, and contribute to HPS's continued growth as a global public company.

Key Responsibilities Include
  • Commercial and Business Support:
    • Draft, review, negotiate, and advise on commercial agreements and business arrangements.
    • Provide legal support to HPS's global transformer and power solutions businesses, including Canada, the United States, Mexico, and India.
    • Partner with business functions to identify and mitigate legal and commercial risks and support contract templates, playbooks, policies, processes, and AI-enabled legal tools.
  • Corporate, Governance, Compliance and Public Company Matters:
    • Support corporate governance frameworks, board and committee matters, corporate records, annual meeting requirements, public disclosure documents, securities filings, continuous disclosure obligations, reporting materials, and enterprise compliance programs.
  • Litigation, Claims, Employment and Risk Management:
    • Assist with litigation, regulatory matters, disputes, investigations, insurance claims, employment-related matters, workplace practices, legislative requirements, P&C-led investigations, policy development, compliance training, and employment documentation.
  • Strategic Transactions
    • Assist with mergers, acquisitions, divestitures, joint ventures, integration activities, due diligence, transaction documentation, post-closing integration, and coordination with internal stakeholders and external advisors.
  • Training and Business Enablement
    • Develop and deliver legal and compliance training, educate business teams on legal, regulatory, compliance, and risk management matters, and promote proactive risk identification and mitigation across the business.
Do you qualify? We are seeking:
  • 2 to 5 years of related work experience.
  • Juris Doctor (JD) or equivalent law degree; licensed to practice law in Ontario and member in good standing of the Law Society of Ontario.
  • Experience supporting manufacturing, industrial, technology, infrastructure, energy, business-to-business industries, international operations, cross-border legal matters, commercial contracting, employment, litigation management, regulatory compliance, governance, M&A, securities, or related corporate legal matters.
  • Strong legal drafting, negotiation, analytical, research, project management, organizational, communication, and problem-solving skills.
  • Practical risk-based business judgment and a proven ability to manage multiple priorities in a fast-paced environment.
  • Interest in industrial manufacturing, electrification, power systems, and HPS markets.
  • Ability to manage external counsel and cross-functional stakeholders; demonstrating high integrity, accountability, professionalism, attention to detail.
  • Willingness to travel periodically as required throughout Canada, the US and Mexico.

At Hammond Power Solutions (HPS), we provide market-competitive compensation that reflects performance, skills, and current market conditions. For this role, the base salary range is $130,400 to $180,400 with final offers determined by experience, qualifications, and role complexity.
