Digital Commerce Group is seeking to add a talented lawyer to its team. This role will provide support to Digital Commerce Bank and its affiliates including Pateno Payments Inc. and Digital Commerce Payments. Reporting to the General Counsel, this position will be based at Digital Commerce Bank’s head office in Calgary, AB or its office in Toronto, Ontario.

Digital Commerce Bank (DCBank) is a Schedule 1 Canadian chartered bank and a fintech leader for corporate digital banking. We offer flexible payment acceptance solutions for corporate clients including custom branded prepaid cards, digital wallets, acquiring services for Network card transactions such as Visa and Mastercard, payment acceptance and integration for Interac e-Transfer payments, and other innovative banking solutions. We offer best-in-class API developer tools to provide powerful options for integration, payments, and reporting.

Technology is at the heart of our business so this role will appeal to a lawyer who has a strong interest and experience in technology agreements.

KEY RESPONSIBILITIES

• Draft and develop contracts, forms, client documents and legal policies.
• Draft and negotiate complex agreements including, master services agreements, statements of work, service level agreements, professional services agreements, master Subscription agreements, SaaS agreements and license agreements.
• Advise on privacy laws applicable to our business.
• Advise on regulatory and compliance issues related to banking, payments, financial services.
• Provide legal guidance, advice and education to the organization on legal risks and opportunities, including new developments in the law.
• Ensure legal services are timely and ensure work quality is maintained notwithstanding short deadlines and multiple priorities.
• Build and maintain superior relationships with internal and external business and corporate partners.
• Contribute to legal department initiatives, including knowledge management and workflow improvement.

SKILLS AND EXPERIENCE

• Bachelor of Laws/J.D. and member of Law Society of Alberta or other Canadian law society
• Minimum of 3-5 years of related legal experience, preferably with a national law firm
• Strong analytical capability
• Effective prioritization and management of multiple legal matters
• Practical business and legal judgement, and ability to balance business needs and risk
