Your Impact at PLATFORM
We are seeking a detail-oriented andproactive Corporate Law Clerk to join our legal team. The successful candidatewill support the General Counsel in managing the company’s corporate governanceobligations, maintaining corporate records, and preparing legal documentation.This role is ideal for a law clerk with experience in corporate law,particularly in a regulated industry such as insurance.
·Maintain and update corporate minute books forthe company and its subsidiaries.
·Prepare and file annual resolutions, directorand officer changes, and other corporate filings.
·Assist with the preparation of board andshareholder meeting materials, including agendas, resolutions, and minutes.
·Assist with the preparation and updating ofcompliance policies and procedures.
·Monitor and ensure compliance with applicablecorporate statutes and regulatory requirements
·Draft and revise corporate governance documents,including resolutions, consents, and organizational charts.
·Assist in the preparation and review ofcontracts, non-disclosure agreements, and other legal documents.
·Coordinate execution and notarization of legaldocuments and maintain document management systems.
·Provide administrative and legal support to theGeneral Counsel on a wide range of corporate and regulatory matters.
·Conduct legal research and assist with internalinvestigations or compliance audits as required.
·Liaise with external counsel, regulators, andinternal departments as needed.
·Support corporate transactions such asincorporations, dissolutions, and reorganizations.
·Assist with insurance licensing and regulatoryfilings, as applicable.
·Maintain confidentiality and handle sensitiveinformation with discretion.
Education, Experience & Qualifications
·Law Clerk Diploma or equivalent certificationfrom an accredited institution.
·Minimum 3 years of experience as a corporate lawclerk, preferably in the insurance or financial services sector.
·Strong knowledge of the Ontario BusinessCorporations Act and Canada Business Corporations Act.
·Proficiency in Microsoft Office suite andfamiliarity with AI platforms such as CoPilot and Chat GPT are an asset.
·Excellent organizational, drafting, andcommunication skills.
·Ability to work independently and managemultiple priorities in a fast-paced environment.
