As Corporate Counsel, you will perform general legal services for the Company. You will assist in protecting the Company’s legal interest and maintaining its operations within the scope established by law. Responsible for identifying and analyzing legal issues, drafting and reviewing documents, presenting clear recommendations, and assuring legal compliance, this is an amazing opportunity for you to showcase your prioritization skills and attention to detail. Familiar with a broad variety of legal concepts, practices and procedures, you’ll rely on your deep experience, preparation and judgment to plan and accomplish goals.

Reporting directly into the Vice President & General Counsel, and working within a small team, you will feel comfortable immersing yourself into a position that is essential to the smooth running of the business. Operating as a subject matter expert, you will work across all departments within the company and will feel at home translating legalese into digestible information across all levels and working with people from all backgrounds.

Responsibilities

  • Perform all aspects of legal services in assigned areas of legal specialization and primarily responsible for developing and representing the Company’s legal positions in such areas.
  • Assist in providing senior management, internal departments, and subsidiaries with legal support, advice and information.
  • Assist in preparation and review of contracts regarding customers, dealers, distributors, banks, consultants, vendors, equipment leasing companies, real estate leases, and governmental agencies.
  • Assist in Company’s acquisitions, including due diligence review, drafting and reviewing contracts, preparing closing documents and facilitating post-merger integration.
  • Build relationships across and act as a strategic partner to the company to strengthen trust, and approachable nature of, the Legal department.
  • Assist with development, implementation, oversight and enforcement of Company’s policies and procedures (including anti-trust and anti-corruption) to ensure legal compliance.
  • Assist with the review of insurance policies.
  • Identify risks and propose alternative structures to mitigate risks involved in potential business transactions.
  • Participate in major customer, dealer and management functions to understand Company’s business and goals, and to assure legal compliance.
  • Provide seminars to Company’s employees on legal and compliance matters.

Qualifications

Required :

  • Juris Doctorate from an accredited law school and be a member in good standing of the New Jersey Bar or otherwise be eligible to practice law as in-house counsel in New Jersey.
  • Minimum 6 years of experience in corporate counsel capacity or with law firm counselling businesses and corporations.
  • Prior experience successfully managing and negotiating a wide variety of contracts.
  • Experience working with iManage or other document management system.
  • Self-starter with strong analytical and problem-solving skills and ability to make sound legal judgments.
  • Exceptional interpersonal and communication skills, with the ability to explain complex legal issues in clear, concise language.
  • High degree of professional ethics and integrity.
  • Ability to thrive in fast-paced, high-pressure environment.

Preferred :

  • Experience in counseling businesses in various legal matters, such as : acquisitions, agreements, litigation, anti-trust and anti-corruption, intellectual property, real estate, corporate governance, and government and environmental regulations.
  • Experience in Real Estate Contracts a plus.
