Job summary

Socket.dev is seeking an Associate Corporate Counsel to support Canada-wide transactions and operations. You will provide expert legal advice on transactional and operational matters, working closely with leadership to identify and mitigate risks within the construction sector.

You will review project contracts, draft and negotiate key agreements, and collaborate with joint venture partners and external counsel to close deals. Strong English/French communication and integrity are essential.

Qualifications

• Juris Doctor or equivalent required.
• 1+ years of post-bar professional legal experience required.
• 3+ years in construction industry required.
• Excellent written and verbal English and French.
• Strong communication and drafting skills.

Responsibilities

• Provide advice to division or district leadership on contractual impact of proposed actions for projects.
• Review project contract documents to identify and analyze legal risk and mitigate it.
• Draft project correspondence and negotiate agreements including sub-contracts and lender agreements.
• Collaborate with JV partners and external counsel to negotiate deals and complete closing documents.
• Advise stakeholders on potential disputes and mitigation strategies.
• Develop training materials for project contracts with management and leadership.
• Review RFP submission requirements for divisional projects.
• Review contract changes to ensure specifications align with project agreements.
