In financial markets defined by caution and inefficiencies, Sterling Corporate Solutions subsidiaries combine investment banking, private credit, and private equity techniques build a national platform by revitalizing underserved hospitality businesses.

We see opportunity where others see chaos. We arm local SMEs the legal and financial firepower to stand up to entrenched oligopolies, using swift tactics, analytical rigor, and relentless execution. Our mandate is to revitalize cornerstone local businesses, preserve community character, and save thousands of jobs while generating exceptional returns for our clients and shareholders.

The Role: Founding General Counsel

We are seeking a formidable legal and strategic partner to join the founding team. As Founding General Counsel, you will be the architect of the legal framework that enables our entire strategy.

This mandate extends beyond conventional corporate law. Your department will:

  • Execute the legal and transactional architecture for all acquisitions, from initial structuring to final integration.
  • Add your expertise to various risk management tools (eg. Monte Carlo Simulations)
  • Anticipate, plan, and execute litigation involving various stakeholders.
  • Pioneer novel legal frameworks for complex scenarios including debt-equity swaps, insolvency proceedings, and shareholder activism.
  • Act as the key architect in adapting our strategy to the specific nuances of Quebec's legal and commercial landscape.
  • Coordinate with our external M&A and insolvency counsel for maximal strategic alignment.
  • Establish proper governance frameworks to mitigate frictions and conflicts of interests.
  • Lead compliance oversight and participate in enterprise risk management.

Success in this role requires commercial judgment, tolerance for ambiguity, combined with intellectual vitality to navigate uncharted territory.

Our firm is built for professionals who demonstrate exceptional focus and resilience under pressure. We value:

  • Disciplined Intensity: We operate with a velocity and rigor that is uncommon in the market.
  • First-Principles Thinking: We solve hard problems by breaking them down to their fundamentals.
  • Decisive Action: We empower our leaders with significant autonomy and expect a strong bias for action. Our focus is on outcomes, not process.
  • An Owner's Mentality: Our loyalty is to our investors, clients, and employees whose livelihoods depend on their businesses’ survival.

We do not let external circumstances dictate our fate. We view risk as an ecosystem, not a ladder. Our solutions emerge by mapping out the chain reactions others never see coming.

The Candidate

As a cofounder, you will be a vector of a culture valuing the bold, brave, and industrious. We seek a partner who is prepared to be tested and is driven by the opportunity to build a legacy based on tangible results. While we value experience, your mindset is what will set you apart as cultural fit is paramount.

This is not a fit for a risk-averse practitioner. We offer a rare opportunity to be a principal architect of an innovative investment system, shape a high-stakes strategy from its foundation, and achieve a commensurate level of impact and reward.

  • Fluency in French
  • Specialization in corporate litigation
  • Exposure to M&A, private equity, insolvency, or structured finance
  • Working knowledge of accounting/corporate finance
  • Experience with cross-functional strategies
  • Knowledge of municipal regulations (public health, zoning, bill 96..)

Final words:

There are 480,000 underserved restaurants in North America alone. Structural fragmentation has deterred institutional capital, our approach unlocks it.

This company is about redefining the realm of possibilities on every aspect of its operations, apply for a chance to join a venture that will forge your reputation as a difference-maker, an industry disruptor, and game-changer.
