Job description

Director & Counsel, Private Capital - Permanent - 19492

LRO Staffing is working with an established Ottawa residential developer and long-term holder of Class A purpose-built rental, structured through LP/GP partnerships with high net-worth and institutional investors. As the firm institutionalizes and grows its investor platform, it is creating a new senior role to own securities, compliance, deal structuring and investor legal work, and to build the function around it.

About The Opportunity

Reporting to the VP of Finance/CFO, this position is a pivotal addition to the leadership team. It is a legal core inside a business role. External securities counsel provides the legal positions; you turn them into process, controls and decisions and own the outcomes. Around that core, you co-own deal economics with finance, hold technical investor relationships and lead a small team.

  • Take ownership of the internal securities compliance process end-to-end, implementing external counsel’s recommendations and bringing it to an institutional standard
  • Sign off on outbound investor and sales materials and own the compliance controls the sales function operates within
  • Coordinate the registrant obligation analysis with external counsel
  • Draft, negotiate and finalize the legal documents associated with the investor offering
  • Instruct and manage external counsel on structuring and offerings
  • Co-own to the deal economics with finance; fee structure, promote, preferred return and waterfall
  • Take ownership of the corporate secretarial and entity compliance work, including annual returns, minute books, cap table and GP and LP filings
  • Field the technical investor questions that go past a portfolio manager: tax treatment, return mechanics, preferred return, waterfall and deal structure
  • Review investor communications and reporting for legal and compliance before they go out
  • Act as a senior technical contact for institutional partners on structure and terms, including due diligence and side-letter negotiations
  • Manage and develop the Portfolio Manager who runs investor relations day to day, with a junior hire planned as the function scales
  • Support the build of the firm’s first private fund, led by the VP of Finance with external advisors
  • Provide first legal review on loan and financing agreements, contracts and general corporate matters, coordinating with external counsel where specialist input is needed.
About You

The successful candidate will have the following:

  • Called to the Canadian Bar, with a Law Society of Ontario license or the ability to obtain one
  • Four to seven years of post-call experience in corporate commercial, real estate or funds law.
  • Exceptional drafting skills together with the ability to take external counsel’s advice and operationalize it into policy, process and controls they own
  • A working understanding of LP/GP structures (waterfalls, preferred return, promote) or the ability to ramp quickly
  • Commercial instinct and the appetite to own investor work, deal economics and a team, not just the legal file
  • Comfort being investor-facing and holding technical conversations directly
About The Job

This role is a full time, permanent opportunity, that is as much business as law, with regular and consistent hours, direct work with the VP of Finance and the founders and long-term upside for the right person. If you have seen the business side of client work and liked it more that practice, this is built for you.

This role offers a base salary of $160,000-$175,000 plus a variable component.
