Who we need

As a Board Director, you are a forward-thinking technology leader with a strategic mindset and a passion for innovation. You have a successful track record as a CTO or similar executive in start-ups or scale-ups, especially in regulated sectors like fintech or Insurtech. You understand how to balance innovation with governance responsibilities and have expertise in digital transformation, agile methodologies, and technology ecosystems. You are committed to good governance, ethical leadership, and inclusive decision-making, ready to guide the company through its next chapter of growth and transformation.

What You Will Do

1. Strategic Oversight: Contribute to shaping long-term strategies, focusing on digital and innovation priorities. Ensure alignment between technology vision and business objectives.
2. Technology & Digital Transformation: Provide guidance on enterprise-wide digital initiatives, tech infrastructure, and emerging tools. Evaluate technology investments and innovation pipelines.
3. Governance & Fiduciary Responsibility: Uphold high standards of corporate governance and fiduciary oversight, ensuring compliance with Canadian and industry regulations. Offer independent perspectives at board meetings.
4. Performance & Risk Monitoring: Monitor organizational performance, leadership accountability, and assess risk management frameworks, including cybersecurity and regulatory risks.
5. Innovation Advocacy & Thought Leadership: Serve as an advocate for innovation and keep the board informed on emerging technologies and market shifts.
6. Board Engagement: Participate actively in relevant board committees and foster a collaborative, strategic board culture.

What You Will Bring

• Experience serving on a board or advisory council with a strong understanding of fiduciary responsibilities.
• Proven success as a CTO or similar in high-growth or start-up environments, especially in regulated sectors like fintech or Insurtech.
• Deep knowledge of digital transformation, agile frameworks, and innovation strategy.
• Familiarity with Canadian insurance regulations and compliance standards.
• Ability to interpret financial statements and assess ROI of technology investments.
