Job description

As a Board Director , you are a forward-thinking technology leader with a strong strategic mindset and a passion for innovation. With a successful track record as a Chief Technology Officer, or in a similar executive role within a start-up or scale-up, you have helped organizations grow from early stages to maturity, especially in regulated sectors like fintech or Insurtech.

You understand how to balance the pace of innovation with the responsibilities of governance. Your expertise in digital transformation, agile methodologies, and technology ecosystems allows you to contribute meaningfully to strategic board discussions. You are comfortable navigating complexity, translating technical insights into business value, and advising on risk, compliance, and operational resilience.

You are committed to good governance, ethical leadership, and inclusive decision-making. You bring sound judgment, independence of thought, and a collaborative spirit to every conversation. Most importantly, you are ready to help guide a company through its next chapter of transformation, growth, and purpose.

What you will do

Strategic Oversight

  • Contribute to shaping long-term strategies, with a particular focus on digital and innovation priorities
  • Ensure alignment between technology vision and overall business objectives
  • Provide guidance on enterprise-wide digital initiatives, tech infrastructure, and emerging tools
  • Evaluate the scalability, risk, and value of technology investments and innovation pipelines

Governance & Fiduciary Responsibility

  • Uphold the highest standards of corporate governance and fiduciary oversight, consistent with Canadian and industry-specific regulations
  • Provide independent, informed perspectives at board and committee meetings

Performance & Risk Monitoring

  • Monitor organizational performance and leadership accountability
  • Assess risk management frameworks, including cybersecurity, regulatory, and talent risk

Innovation Advocacy & Thought Leadership

  • Serve as an advocate for innovation and transformation across the board
  • Keep the board informed on emerging technologies and market shifts

Board Engagement

  • Actively participate in relevant board committees (Technology, Risk, Innovation, etc.)
  • Help foster a collaborative and strategically engaged board culture

What you will bring

  • The Governance & Board Experience. Previous experience serving on a board or advisory council. Strong understanding of board responsibilities and fiduciary obligations. Demonstrated commitment to sound governance and ethical leadership.
  • The Executive & Scaling Experience. Former or current CTO (or equivalent role) within a start-up or high-growth company. Proven success in scaling businesses and technology functions. Experience navigating regulated environments, ideally in fintech, Insurtech, or adjacent sectors.
  • The Digital & Strategic Expertise. Deep knowledge of digital transformation, agile frameworks, and innovation strategy. Ability to align technical insights with broader business objectives.
  • The Regulatory & Industry Knowledge. Familiarity with Canadian insurance regulations and OSFI compliance requirements. Awareness of evolving governance standards in highly regulated industries.
  • The Financial & Business Acumen. Comfort interpreting financial statements and assessing the ROI of technology investments. Ability to contribute to value-driven strategic decisions.
  • The Leadership & Influence. Excellent judgment and independence of thought. Ability to translate complex technical topics into accessible, strategic input. Collaborative approach to engaging with diverse board members and senior leaders. Strong advocate for diversity, equity, inclusion, and responsible innovation.
