As a key member of our Legal team, the Assistant Corporate Secretary will support the Board of Directors and the Chief General Counsel & Corporate Secretary in all matters related to corporate governance. You will provide timely legal advice, guidance, and research to manage risk and ensure a strategic lens in the maturing of IMCO’s governance and Board-related activities. This role also involves providing corporate governance advice and support for legal entity management of IMCO and client subsidiary entities. This role will have people leadership responsibilities for a Senior Law Clerk.

Key Responsibilities:

Board Support

  • Advise the Corporate Secretary with respect to all corporate secretarial matters and lead execution related to the Board, Board Committees and their respective chairs;
  • Provide counsel and advise senior IMCO management regarding governance requirements and engagement on Board and Committee related matters
  • Provide legal and strategic advice on all matters relating to corporate governance, including monitoring emerging trends and practices relating to corporate governance and oversee implementing best governance practices
  • Oversee Board evaluations and the creation of orientation, training, and education programs
  • Oversee the successful coordination and execution of operations of the Board and its Committees;
    • Provide strategic guidance with respect to the development of the agenda for meetings
    • Oversee the annual calendar workplan activities for Board, Committee, Annual meetings;
    • Oversee the preparation of resolutions/motions of the Board;
    • Develop and maintain the Board and Board Committee Mandates annually
    • Develop and be accountable for the Board’s budget

Legal Entity Management

  • Provide legal support to legal entity management stakeholders regardingthe establishment, maintenance and dissolution of IMCO and client subsidiary entities, including the following
    • Provide direction and oversight to IMCO’s law clerks and external counsel to ensure IMCO’s managed legal entities are maintained in good standing throughout their lifecycles;
    • Provide oversight with respect to the dissolution of IMCO managed legal entities as required;
    • Provide legal support relating to the overall governance of IMCO’s managed legal entities

What you need to succeed:

  • Called to the Bar in Ontario
  • 8+ years of post-call experience
  • Demonstrated experience supporting and advising boards of directors is preferred
  • Outstanding written and oral communication skills. Ability to effectively convey complex information between the Board and executive leadership
  • Ability to present, manage and facilitate executive level meetings and able to communicate and exude trust with senior leaders and BOD
  • Proven ability to implement changes to processes to increase efficiency and effectiveness
  • Strong attention to detail and a high degree of accuracy
  • Well-established interpersonal relationship-building skills and an ability to work both independently and collaboratively with internal and external stakeholders
  • Highly motivated team player with a proven ability to manage several different priorities at one time, including under tight timelines.
  • Utmost discretion and the ability to handle highly sensitive and confidential information with professionalism.
