Your Growth

As a Senior Contracts Counsel, you will be based in Mexico and will report to the subregional Associate General Counsel also based in Mexico, as part of our LATAM Legal team. This team oversees client-facing legal matters in the region.
You will work closely with other lawyers in LATAM and in the global Legal Department, and will be expected to liaise with a number of individuals and teams within the Firm (e.g., Partners, Consulting teams, Risk, Compliance, Finance, Corporate Tax, Professional Development, Office and sector leadership, and local administrative leaders), as well as with outside counsel in Mexico and potentially other countries in LATAM.
You will be responsible for handling the preparation, review, drafting, and negotiation of commercial contracts in LATAM countries (particularly in Mexico, Central America, Caribbean, Chile and Peru, but with the potential to provide support in other countries), and for advising internal clients on legal issues related thereto, under the supervision and guidance of the subregional Associate General Counsel and other Legal Department attorneys in LATAM.

Your Impact

The global Legal Department is a diverse and dynamic group within our Firm, headed up by the General Counsel, with teams for each region including Latin America (LATAM). The Legal Department provides comprehensive legal services and broad risk management support to the Firm’s leadership, consultants and support staff.
You will draft, review, and negotiate different types of commercial contracts, such as traditional consulting agreements, complex consulting agreements with variable fee structure, performance - based agreements, master service agreements and related statements of work, waiver letters and confidentiality agreements.
You will also work with attorneys to develop the most efficient way to process more complex forms of agreements, such as master consulting agreements, variable fee structure agreements and indemnity agreements.
As a Sr. Contracts Counsel, you will review and assist teams with RFP (Request for Proposal) responses as well as create, update, and distribute standard contracts and related documentation in accordance with departmental policies and procedures; help monitor and track contract flow volume.
You will manage a database of contractual arrangements.
You will work with systems to track whether contracts have been executed, including a reminder system for any required follow-up (particularly the Salesforce platform).
You will provide our consultants with appropriate support on different forms of agreements on a variety of engagement-related legal issues and provide legal advice in specific aspects related to the execution and performance of contracts with complex commercial arrangements (contract management).
You will advise our consultants on legal issues related to commercial contracts in LATAM (particularly in Mexico, but with the potential to help in other countries).
You will drive broader Legal Department priority initiatives, as appropriate. Lead and collaborate with other attorneys and interns on projects in support of Firm global and local initiatives.
You will share knowledge, coach and mentor more junior colleagues and new joiners on contracts-related and other responsibilities.

Your qualifications and skills

  • Law degree
  • Minimum of 10 years in a top multinational corporation’s legal department drafting, reviewing, and negotiating commercial contracts
  • Demonstrated ability to draft, revise, and negotiate commercial contracts such as service agreements, confidentiality agreements, master consulting agreements, SoW’s, independent consultant agreements, and indemnity agreements
  • Experience with RFP review and response
  • Strong communication skills. Excellent speaking, writing and negotiating skills in Spanish and English, with the ability to adjust your style to suit different perspectives and seniority levels, including business settings with senior executives with non-legal backgrounds
  • Ability to work in an international and multicultural environment throughout several jurisdictions
  • Excellent organizational skills, sense of prioritization and judgment, including the ability to initiate tasks independently and see them through to completion
  • Proficient in rational decision making based on data, facts, and logical reasoning
  • Ability to handle high volume of work and operate under pressure, recognize priorities, and manage time effectively, in a complex and largely autonomous work environment
  • Ability to function independently and autonomously, in a high performing work environment, with moderate supervision, and awareness of when to syndicate with, and involve another colleague and more senior manager
  • Computer skills are extremely valuable (including Word, Excel, Outlook, PowerPoint)
  • Experience working and collaborating in diverse team environments with colleagues with legal and other backgrounds
  • Ability to work or attend meetings outside of traditional business hours or take on projects with limited or no notice at times
