Private equity company in downtown Vancouver is expanding their deal / acquisition team. They are hiring for a Manager – mergers / acquisitions. Suitable candidates will be managers from public practice with solid private enterprise files and tax experience from a medium to large size practice, preferably with experience handling complicated / complex files. This position will be hands-on, requiring the successful candidate to actively participate in all aspects of the role. The person must be a CPA with strong ASPE experience.

Duties will include but not be limited to :
  1. Assisting with special projects, including but not limited to:
  2. Performing due diligence or assisting in the review of due diligence materials
  3. Reviewing (or preparing) financial models
  4. Reviewing Confidential Information Memoranda (CIM) prepared by third parties for potential projects
  5. Coordinating and preparing documentation to meet financing requirements to satisfy lenders’ conditions for deal closing
  6. Managing banking requirements, including KYC / AML processes, new bank account openings, and online banking management for deal entities
  7. Handling post-closing transition and integration matters
  8. Briefing the acquired management team and employees on the integration process and its impact
  9. Escalating issues requiring senior-level input for quick resolution
  10. Managing interdependencies between functions to ensure activities are prioritized and sequenced correctly
  11. Assisting with external audits of subsidiaries / operational entities, including valuation processes if applicable, during the first post-acquisition year
  12. Performing related daily operational tasks
  13. Reviewing or preparing bank covenant calculations and analysis
  14. Assisting in preparing financing reporting packages for lenders and board meetings
  15. Ensuring all acquisitions are correctly accounted for, including post-closing adjustments
  16. Preparing and reviewing financial statements of acquired or formed entities for initial and subsequent year ends
  17. Creating comprehensive working paper files with supporting documentation for financial statements
  18. Collaborating with vendors, accountants, and lawyers to ensure acquisition records are sufficient for ongoing management of target companies
Salary and Benefits

Salary is negotiable within the $110K-$130K range, accompanied by excellent benefits, work/life balance, and a hybrid work arrangement.
