Jobtailor is seeking a corporate lawyer to manage governance matters and draft essential corporate instruments. You will handle filings with registries and authorities, support M&A due diligence, and validate documents from external firms.

The role requires a law degree, active OAB registration, and at least three years in a legal department or firm, with postgraduate studies a plus. Work hours are standard, Monday through Friday.

Qualificações

• Experience in corporate law and governance.
• Minimum of three years in a legal department or law firm.
• Postgraduate studies in business/corporate law are a plus.
• Availability to work Monday to Friday, 08:30–18:18.

• Manage corporate routines for Ltda and S.A.
• Perform filings with registries, RFB and notaries.
• Support M&A due diligence and transaction documents.
• Draft legal opinions and validate documents from external firms.

• Handle corporate and corporate governance matters
• Draft, review and revise corporate instruments (articles of association, minutes, corporate bylaws and contractual amendments)
• Manage corporate routines for Ltda (limited liability companies) and S.A. (corporations)
• Perform filings and procedures with Commercial Registries, the Federal Revenue Service (RFB), notary offices and related authorities
• Support M&A transactions, including due diligence and drafting/reviewing transactional documents
• Draft legal opinions and validate documents received from external law firms

Requirements

• Completed law degree
• Active registration with the Brazilian Bar Association (OAB)
• Experience in Corporate Law
• Minimum of three years' experience in a legal department or law firm
• Postgraduate studies in Business/Corporate Law are a plus
• Experience in Corporate Governance is a plus
• Availability to work Monday to Friday, from 08:30 to 18:18
