Sibelco Antwerp is seeking a Director Legal M&A to lead the legal workstream for international transactions, from strategy through closing, with exposure to senior leadership and the Executive Committee.

You will advise on deal structure, coordinate due diligence, draft and negotiate complex agreements, and manage cross-border teams to deliver results while balancing commercial objectives and legal protections.

Qualifications

• Qualified to practice law in a relevant jurisdiction.
• 8–10+ years of post-qualification experience in corporate law and cross-border transactions.
• Experience in international law firms or multinational companies.
• Strong ability to lead M&A workstreams and negotiate complex agreements.
• Strong English drafting of complex transaction documents.

Responsabilités

• Lead the legal workstream for international M&A transactions from inception through closing.
• Advise on transaction structure, governance and risk mitigation.
• Lead due diligence, prioritise issues, and translate findings into actionable recommendations.
• Draft, review and negotiate confidentiality, term sheets and purchase agreements.
• Coordinate with counterparties, advisers and external counsel across jurisdictions.
• Support corporate finance and treasury projects as needed.
• Ensure regulatory filings, merger control and post-closing integration activities.
