Job summary

PwC Australia’s Sale & Purchase Agreement Advisory team in Melbourne is seeking a Manager to join our SPA specialists.

You will apply accounting, financial analysis and a sceptical mindset to high-profile M&A deals, advising on purchase price mechanisms, completion accounts, locked box arrangements, earn-outs and related negotiations.

You will work with partners, directors and cross-functional deal teams to protect value for clients and deliver clear, client-ready outputs.

Responsibilities

• Reviewing and analysing sale and purchase agreements from an accounting and financial perspective.
• Advising clients on purchase price mechanisms, including completion accounts, locked box structures and earn-outs.
• Identifying value drivers, balance sheet risks, net debt items and working capital adjustments.
• Working with financial due diligence teams to reflect matters in SPA drafting or negotiation strategy.
• Supporting equity price negotiations and development of accounting-related SPA positions.
• Assisting with completion accounts and other post-completion adjustments.
• Supporting transaction-related disputes, including disputes.
• Preparing clear, concise client deliverables.
• Liaising with clients, legal advisers, investment banks and deal teams.
• Contributing to internal knowledge sharing and business development of the SPA practice.
