PwC Australia’s Sale & Purchase Agreement Advisory team in Melbourne is seeking a Manager to join our specialist SPA team.

This role emphasizes applying accounting, financial analysis and a sceptical mindset to deals, including purchase price mechanisms, completion accounts and post‑completion adjustments.

The role offers engagement with clients, internal teams and external advisers, with opportunities to lead deals and develop deep technical expertise.

Formación

• IFRS / AASB experience required.
• CA/CPA or equivalent qualification preferred.
• Strong financial analysis and Excel skills required.
• Attention to detail and sceptical mindset essential.
• Ability to prepare clear, client-ready outputs and communicate effectively.
• Ability to collaborate with stakeholders across teams and levels.

Responsabilidades

• Review and analyse sale and purchase agreements from an accounting/financial perspective.
• Advise on purchase price mechanisms including completion accounts, locked box, and earn-outs.
• Identify key value drivers, balance sheet risks, net debt items, and working capital adjustments.
• Collaborate with financial due diligence to inform SPA drafting/negotiation strategy.
• Support equity price negotiations and development of accounting-related SPA positions.
• Assist with preparation, review and resolution of completion accounts and post-completion adjustments.
• Support transaction-related disputes including completion accounts/earn-out disputes.
• Deliver concise, commercial client deliverables.
• Liaise with clients, advisers, banks, and due diligence teams.
