Job summary

Gayaa Dhuwi (Proud Spirit) Australia is seeking a Governance and Compliance Manager to lead governance, risk and compliance across the organisation. The role supports board processes, funder reporting and acquittals, and liaises with the CFO, Company Secretary and legal counsel to maintain robust governance systems.

The successful candidate will ensure timely, accurate reporting, maintain risk registers and oversee contract management within a not-for-profit, Aboriginal and Torres Strait

Qualifications

• Experience governance, compliance or company secretariat work, including board support and risk registers.
• Ability to manage multiple compliance obligations simultaneously and meet deadlines.
• Strong written communication for board papers, minutes and reports.
• Discretion handling sensitive governance, legal and financial matters.
• Understanding of governance obligations of a community-controlled not-for-profit.

Responsibilities

• Coordinate board meeting logistics, scheduling, papers and distribution.
• Prepare board packs, agendas and supporting materials.
• Record minutes and maintain action registers.
• Maintain director records and declarations of interest.
• Lead preparation and submission of funder reports and acquittals.
• Maintain the organisational risk register and monitoring across compliance.
• Coordinate relationship with external advisors.
• Undertake other duties as required.
