Job summary

Herbert Smith Freehills Kramer in Sydney seeks a talented solicitor to join the Funds M&A team, focusing on real assets and private capital transactions, working with leading clients and practitioners. You will advise on capital raising, formation of funds, M&A across the funds life cycle, and collaborate with tax, debt and real estate teams.

The ideal candidate has 2–5 years PQE, admission in Australia/NZ, and strong drafting, negotiation and stakeholder skills, with a collaborative, innovative

Qualifications

• Admission to practice as a lawyer in Australia or New Zealand.
• 2–5 years' post-qualification experience in a leading corporate team.
• Experience in funds, private equity, corporate M&A and/or investment management.
• Strong technical understanding of investment structures and M&A processes.
• Excellent drafting, negotiation and analytical skills.
• Sound commercial judgment and pragmatic problem-solving.
• Strong communication and stakeholder management capabilities.
• Ability to manage competing priorities with attention to detail.
• Collaborative, high-performing, team-oriented mindset with curiosity about AI.

Responsibilities

• Manage and support execution of transactions from inception to completion, coordinating due diligence and signing processes.
• Negotiate unit and share sale agreements and related structures.
• Draft fund and structured investment documents, including trust deeds and agreements.
• Assist with capital raising for real asset funds and related materials.
• Build and maintain strong client relationships through high-quality service.
