Job summary

Herbert Smith Freehills Kramer in Sydney is seeking a talented Solicitor to join the Funds M&A team, focusing on funds-related mergers and acquisitions, private capital transactions, and structured investments with a real assets tilt.

The role involves advising on transactions across the fund life cycle, coordinating due diligence, drafting and negotiating fund documents, and working with cross-functional teams to develop investment structures.

Qualifications

• Admitted to practice as a lawyer in Australia or New Zealand.
• Experience in funds, private equity, corporate M&A and/or investment management transactions.
• Strong drafting, negotiation and analytical skills.

Responsibilities

• Advise clients on transactions across the funds lifecycle, including capital raising, asset and platform M&A, formation of fund, club, joint venture and mandate structures.
• Coordinate due diligence, negotiate unit and share sale agreements, and manage signing and completion processes.
• Draft and negotiate fund and structured investment documents including unitholder and shareholder agreements, mandate agreements and trust deeds.
