Job summary

Herbert Smith Freehills Kramer in Sydney is seeking a talented and commercially minded Solicitor to join Robert Bileckij’s Funds M&A team. This role deepens expertise in funds-related mergers and private capital transactions while working with leading practitioners and high-profile clients.

Qualifications

• Admitted to practice as a lawyer in Australia or New Zealand.
• 2–5 years of post-qualification experience in a leading corporate legal team.
• Experience in funds, private equity, corporate M&A and/or investment management.
• Strong understanding of investment structures and M&A processes.
• Excellent drafting, negotiation and analytical skills.
• Sound commercial judgment and pragmatic problem-solving.
• Strong communication and stakeholder management capabilities.
• Ability to manage competing priorities with attention to detail.
• Collaborative, high-performing, team-oriented mindset.
• Innovative mindset with curiosity about AI and emerging technologies.

Responsibilities

• Advise on funds life cycle transactions including capital raising, asset and platform M&A, formation of fund, club, joint venture and mandate structures and related management arrangements.
• Coordinate due diligence and negotiate unit and share sale agreements; manage signing and completion processes.
• Collaborate with clients and tax, duty, real estate and debt teams across our global network to implement investment structures.
• Draft and negotiate fund and structured investment documents including unitholder and shareholder agreements and trust deeds.
• Assist with capital raising for real asset funds including memoranda and due diligence materials.
• Build and maintain strong client relationships through responsive and high-quality legal service.
