Job summary

Hall & Wilcox is seeking a corporate & commercial lawyer in Brisbane with 2-4 years of post-admission experience to join our Brisbane Corporate & Commercial team. You will work with partners and lawyers, with opportunities to collaborate across Melbourne, Sydney, Perth and Newcastle.

This hands-on role offers significant learning and development opportunities and exposure to transactions across diverse industries.

Qualifications

• 2-4 years of PAE in corporate and commercial law.
• Experience in capital markets or M&A transactions.
• Technical excellence and a can-do attitude.
• A commercially savvy approach to corporate transactions.

Responsibilities

• Drafting and negotiating transaction documents including share sale agreements, shareholders agreements and investment documents.
• Working on a range of matters relating to M&A and capital markets transactions, including capital raising documents, due diligence and completion.
• Liaising with clients and corporate and other advisers, and with internal groups for input on corporate issues.
• Being part of a team on other commercial transactions, such as joint ventures and management equity arrangements.
• Drafting and advising on key commercial contracts for clients.

About The Role And Team

We have an exciting opportunity for a lawyer with 2-4 years of post-admission experience (PAE) to join our Brisbane Corporate & Commercial team, working alongside partners and lawyers in a well-established team. The role will also offer opportunities to work with our Corporate & Commercial partners and lawyers in Melbourne, Sydney, Perth and Newcastle.

This is a fantastic hands-on corporate & commercial role, with significant learning and development opportunities from the experienced and well-regarded team and the opportunity to work with interesting clients across a variety of industries.

You Will Be Responsible For

• drafting and negotiating transaction documents including share sale agreements, shareholders agreements and investment documents;
• working on a range of matters relating to M&A and capital markets transactions, including preparation of capital raising documents, due diligence and attending to completion of transactions;
• liaising with clients and corporate and other advisers, as well as other groups within our firm who provide specialist input on corporate transactional issues (such as our Employment, Banking, Tax, Property and Projects colleagues);
• being part of a team on other commercial transactions, such as joint ventures and management equity arrangements; and
• drafting and advising on key commercial contracts for clients from time to time.

About You

You will ideally have the following skills and experience:

• 2-4 years of PAE in corporate and commercial law;
• experience in capital markets or M&A transactions;
• technical excellence and a can-do attitude; and
• a commercially savvy approach to corporate transactions.
