The ideal candidate is admitted as an attorney with 10+ years of post-qualification experience, with deep expertise in deal structuring, negotiation, due diligence, and regulatory compliance.

About the Role

Our client, a leading entity in the financial services sector, is seeking an accomplished Senior Legal Advisor specializing in Mergers & Acquisitions for their prominent legal department in Sandton. This high-impact role involves leading and advising on complex M&A transactions, joint ventures, and corporate restructurings. You will be instrumental in navigating intricate legal landscapes, managing risk, and ensuring the successful execution of strategic corporate initiatives. The ideal candidate is a seasoned legal professional with extensive experience in deal structuring, negotiation, and due diligence, ready to contribute to key business decisions in a dynamic, fast-paced environment within one of Africa's premier financial hubs.

Key Responsibilities

• Lead the legal aspects of complex M&A transactions, from initial strategy and due diligence to negotiation and closing.
• Structure and advise on corporate finance deals, joint ventures, and strategic partnerships.
• Draft and negotiate key transaction documents, including Share Purchase Agreements, Shareholders' Agreements, and NDAs.
• Provide expert legal counsel on corporate governance, securities law, and regulatory compliance related to transactions.
• Manage external legal counsel and internal stakeholders effectively throughout the transaction lifecycle.
• Identify and mitigate legal risks associated with corporate transactions and business strategies.

Requirements

• Admitted Attorney with a minimum of 10 years of post-qualification experience, with a strong focus on M&A and corporate finance.
• Demonstrated expertise in structuring, negotiating, and closing significant corporate transactions.
• Deep understanding of South African corporate law, securities regulations, and deal-making processes.
