Obinex is a Pre-Seed stage Startup on a mission to develop a simple ecosystem to facilitate the adoption of the centralized economy in the decentralized space and give way to a more secure centralization.

What will you do?

As a Legal Counsel – Corporate & Investment in a FinTech Pre-Seed startup, you will lead the company’s corporate governance, investment structuring, and legal strategy as it transitions from IFZA (Dubai) to ADGM (Abu Dhabi). You will be responsible for drafting and negotiating shareholder agreements, governance contracts, and investment documents such as LOIs, MOUs, Term Sheets, SAFE, and Convertible Notes. Working closely with the CEO, Head of Finance and Head of Compliance, you will oversee legal due diligence for fundraising, investor relations, and commercial partnerships. Your expertise in M&A, venture capital transactions, and offshore entity structuring will be key to optimizing the company’s legal framework while mitigating risks. You will act as a strategic advisor on corporate transactions and key business agreements, ensuring legal alignment with the company’s long-term growth objectives.

Corporate Governance & Legal Structuring

• Draft and manage bylaws, shareholder agreements (SHA), governance contracts, and corporate documentation.
• Provide legal guidance for the company’s transition from IFZA (Dubai) to ADGM (Abu Dhabi).
• Advise on the structuring of offshore entities (BVI, Cayman Islands, Delaware, etc.) for investment and tax optimization.
• Ensure the protection of intellectual property and key commercial agreements.
• Draft and negotiate Letters of Intent (LOI), Memorandums of Understanding (MOU), and Term Sheets.
• Structure SAFE agreements, Convertible Notes, and investment agreements for Pre-Seed / Seed rounds.
• Support legal due diligence and investment structuring processes.
• Negotiate legal terms with VCs, private equity firms, and family offices.

Strategic Legal Advisory

• Identify legal risks and develop strategies to mitigate them.
• Support commercial contracts and strategic partnerships with key stakeholders.
• Oversee any litigation or contractual disputes, coordinating with external law firms as needed.

What will you bring?

Educational Background :

• LL.M., J.D., or equivalent law degree, with specialization in Corporate Law, Finance, or M&A.
• Preferably LL.M. or certifications in investment structuring, fintech, or startup law.

Professional Experience :

• 5-7+ years of experience in corporate law and investment transactions.
• Experience in corporate governance and investment structuring in startups or fintech companies.
• Strong knowledge of ADGM, DIFC, VARA, and financial regulatory frameworks in the UAE.
• Experience in M&A, venture capital, or private equity is a plus.

Technical Skills & Key Knowledge :

• Structuring investment agreements (SAFE, Convertible Notes, Equity Deals).
• Corporate governance and international tax optimization.
• Drafting and negotiating shareholder agreements and commercial contracts.
• Ability to manage legal and transactional risk.

Languages :

• Spanish or Portuguese is a plus to facilitate relations with LATAM.
