Job Overview:

We are seeking a highly strategic and commercially astute Vice President Legal (M&A) to join the legal leadership team of one of the most respected and diversified business groups in the GCC. The successful candidate will lead and manage all legal aspects of the Groups M&A, joint ventures, and strategic investment activities across multiple sectors including Real estate, Technology, F&B, and more. This is a high-impact, high-visibility role requiring strong leadership, legal expertise, and a deep understanding of cross-border transactional work in complex, high-value deals.

Key Responsibilities:

  1. Lead and manage all legal aspects of the Groups M&A activities, including structuring, due diligence, negotiations, documentation, and post-closing integration support.
  2. Provide legal advisory support on joint ventures, divestitures, corporate restructurings, private equity investments, and strategic alliances across the Groups portfolio.
  3. Draft, review, and negotiate a wide range of transaction documents (SPA, SHA, JV agreements, NDAs, MoUs, etc.).
  4. Work closely with internal stakeholders including finance, strategy, tax, and operations teams to align legal advice with commercial objectives.
  5. Lead and coordinate external legal counsel across multiple jurisdictions, ensuring optimal efficiency and risk mitigation.
  6. Support the Board and senior management in decision-making with clear, commercially sound legal advice.
  7. Identify and mitigate legal risks while ensuring compliance with applicable laws and regulations in the GCC and internationally.
  8. Contribute to legal best practices, templates, governance frameworks, and internal policies to support M&A readiness and execution.
  9. Monitor evolving regulatory and legal trends affecting M&A in the region and globally.

Qualifications & Experience:

  1. Law degree from a top-tier international or regional university; LLM or dual qualification (e.g. UK/US + UAE) is preferred.
  2. Minimum 20-30 years of post-qualification experience, including significant M&A transactional experience, preferably with a combination of top-tier international law firm and in-house experience within a large group or investment holding.
  3. Deep understanding of corporate law, M&A processes, due diligence, and cross-border transactions.
  4. Proven track record of managing complex, high-value deals in the GCC, with exposure to multiple sectors.
  5. Strong negotiation, drafting, and communication skills.
  6. Strategic thinker with a high level of commercial acumen.
  7. Fluent in English; Arabic is a strong advantage.

Job Type: Full-time

Pay: AED200,000.00 - AED250,000.00 per month (Equivalent of up to INR 7 crore per annum package)
