The Legal Counsel for OSI EMEA will work closely with other in-house counsel, compliance and business managers, primarily focusing on projects in the Middle East while also supporting the broader EMEA and CIS regions. This role involves handling a wide variety of legal matters across all OSI divisions, including Security, Medical, and Optoelectronics.
Responsibilities
- Collaborate with the EMEA contracts department of the security division to review various purchase, sale, distribution, and service contracts, and maintain accurate records of contracts and approvals.
- Review and advise on material commercial contracts for all divisions, including sales agency and distribution contracts, and public procurement contracts with various EMEA & CIS governments and agencies.
- Advising and supporting senior stakeholders within the business toa chive transactional and strategic objectives.
- Draft and review agreements such as teaming agreements, collaboration agreements, and subcontracts with international partners.
- Advise on disputes arising from operations in EMEA.
- Support entry in new market and territories and jurisdictions, analyse regulatory landscape, establish local legal entities and oversee annual corporate maintenance of EMEA entities
- Support business negotiations and advise on property leases in various jurisdictions within the region.
- Instruct and manage outside counsel for various legal matters where specialist local knowledge required. .
- Manage and support corporate acquisitions, due diligence and corporate documents.
- Anticipate and review legal risks facing the business.
- Assist the Finance and HR departments with complex legal matters.
- Travel will be required across EMEA, CIS

Qualifications
- Minimum of 5+ years post-qualification experience as a solicitor / barrister / legal counsel
- Experience of working with and strong understanding of UK / US businesses and applicable legal principles and approaches.
- Fluent in English and Arabic to a high standard including written professional advice and legal drafting
- Capable of handling complex negotiations and advising senior company management on contractual and other legal requirements and risks
- Highly responsive and motivated, with a willingness to work extended hours when projects demand.
- Enjoys working with different cultures and is willing to handle legal projects outside previous expertise, demonstrating a willingness to learn and develop new competencies.
- Experience as in-house counsel and working with / for a UK or US-based business on international transactions is required.
