Job Title : Regional Legal Counsel (Middle East)
Reporting to : Regional General Counsel

What you bring to the table :
- Law degree from a recognized university.
- Admitted as a lawyer with a recognized law society or bar counsel.
- 5+ years post-qualified experience (law firm experience beneficial).
- Experience working on commercial and corporate transactions.

Duties & Responsibilities
Corporate
- Support the Regional General Counsel on legal restructuring and shareholder transactions.
- Arrange and attend board and shareholders’ meetings, prepare agendas and minutes.
- Prepare and execute powers of attorney, resolutions, agendas, and minutes.
- Ensure effective corporate procedures, including renewal of licenses.
- Monitor licenses to ensure records are maintained and renewals are timely.
- Keep the registers and books within the Middle East updated.
- Maintain the Group Company Secretarial Database with current information on share capital, ownership, directors, officers, and registered addresses.
Commercial and Procurement
- Provide training on standard terms and conditions and CRM guidelines.
- Monitor ongoing use of standard terms and conditions and CRM guidelines.
- Review and negotiate company standard, customer, and supplier terms.
- Assist with RFPs and support KYC processes.
- Manage contract renewals and terminations, and oversee the contract database.
Litigation and Dispute Resolution
- Instruct external legal counsel for claims and manage their performance.
- Review legal costs and manage external legal relationships.
Labour and Employee Matters
- Research and advise on local labour laws.
- Support HR with employee claims and related legal issues.
Systems and Reporting
- Ensure systems are continuously updated.
- Report to local management, regional, and group functions.
