Qualifications

Job Purpose

The Manager – Policy & DoA plays a key role in ensuring the development and maturity of the organization’s governance instruments such as policies, Delegations of Authority (DoAs) and committee charters, are well-developed, consistently maintained and aligned across Modon Holding and its Segments in alignment with the Group’s Corporate Governance framework.

Roles, Responsibilities, Duties

Policy Development & Alignment

  • Coordinate the end-to-end lifecycle of corporate policies including research, benchmarking, drafting, reviewing, updating, and facilitating approvals. In addition, the job holder will work with policy owners across different business segments to ensure alignment with organizational standards and the Group Corporate Governance framework.
  • Manage change requests and ensure timely updates to existing policies, maintaining version control and audit trail documentation.
  • Assess policies to identify gaps, evaluate their relevance and applicability, and recommend necessary updates or enhancements.

Delegation of Authority (DoA) Management

  • Lead the development, review, and periodic update of the Group Delegation of Authority (DoA) Matrix.
  • Coordinate and support the development of segment-specific DoAs, ensuring alignment with the Group-level DoA.
  • Manage change requests to DoAs, ensuring updates are logical, properly justified, and implemented with clarity and traceability.
  • Facilitate reviews and enhancements of current DoA based on through data analytics and benchmarking to recommend improvements to support efficient, streamlined decision-making across the Group.

Governance Instruments Management

  • Lead the development and continuous improvement of governance instruments such committee structures and charters for Group and Segments
  • Ensure charters are clearly aligned with the approved DoA and reflect current organizational structures and decision-making processes.
  • Ensure harmony and alignment across the DoA, policies, and charters to maintain consistency in roles, responsibilities, and authorities across all governance instruments.
  • Facilitate periodic reviews and updates of governance instruments in collaboration with Legal and relevant business units.
  • Ensure all governance instruments and policies are effectively cascaded, communicated, and accessible to relevant stakeholders

Cross-Functional Coordination & Stakeholder Engagement

  • Serve as a key point of contact for queries related to governance documentation and policy alignment.
  • Engage with stakeholders across departments and business segments to determine requirements, evaluate proposed changes, and ensure alignment and consistency across all governance instruments—including policies, DoAs, and charters—in line with Group requirements and standards.
  • Ensure engagement with Group Legal, Group Assurance and Group Internal Audit to continuously identify areas for improvement or enhancements to the various governing instruments

Qualification

  • Bachelor’s degree in Business Administration, with specialization in Public Policy, Corporate Governance or a related field.
  • Relevant certifications in governance, public policy or project management are an advantage.

Experience

  • 5–8 years of experience in corporate governance, policy management, business excellence, or a related field, preferably within a corporate group or holding structure.
  • Demonstrated experience managing policies, governance instruments, and DoAs.
