Job description

Lead both the external and internal Executive affairs of the Group CEO and provide oversight, facilitation and management as well as technical input and other ad-hoc support, as required.

Liaise with the key interfaces between the Group CEO's external responsibilities and the rest of the ADNOC Group. Provide support on matters relating to Group Company Boards and relevant Executive committees. Govern the Executive Office's workflows and decision-making processes.

KEY ACCOUNTABILITIES

ADNOC GCEO external responsibilities

  • Coordinate of TEO stakeholders and content, in preparation for the quarterly ADNOC Board ExCom and ADNOC Board meetings
  • Prepare talking points for the ADNOC Group CEO for the ADNOC Board ExCom and ADNOC Board meetings
  • Coordinate review and provide technical input as required on behalf of the ADNOC Group CEO for relevant external Board meetings, including the proposed position for relevant external Board resolutions
  • Handle information of extremely sensitive nature in accordance with the ADNOC Group confidentiality and information sharing protocol
  • Develop the Responsibility Matrix that outlines the roles and responsibilities in relation to the ADNOC Group CEO's multiple external commitments
  • Develop the MS Planner platform to manage the key Group CEO and TEO assigned tasks and actions
  • Lead the continuous communication and follow up with relevant stakeholders to ensure timely response and closure of the relevant ADNOC Group CEO correspondence

ADNOC Group Company Boards and Executive Committees

  • Lead the review and analysis of all Board material sections including HSE, Financials, Operational Performance, Major Projects, Market Outlooks, People and Communications for those ADNOC Group Company Boards that the ADNOC Group CEO chairs
  • Gather input from internal stakeholders and synthesize to create key takeaways, raise concerns and identify themes for Group Company Boards, on behalf of the ADNOC Group CEO
  • Liaise with the Group CEO's Legal Advisor, ADNOC Corporate Governance and relevant directorates to propose the Group CEO's position for Group Company Board resolutions
  • Ensure that Group Company Board minutes of meetings accurately reflect the outcomes and actions requested by the ADNOC Group, in liaison with the Group CEO's Legal Advisor
  • Coordinate the TEO material creation and review for Executive Leadership Team (ELT) meetings
  • Work with the ADNOC Corporate Governance team to manage the corporate calendar activities via the agenda for the Executive Leadership Team (ELT) / Core ELT forums, ensuring that the right topics are discussed at the right time, with the appropriate level of detail
  • Review of the entire material for Executive Leadership Team (ELT) meetings (including major projects, external environment and oil price updates) to ensure that the ADNOC Group CEO has sufficient notes for the meeting
  • Provide support for any other relevant matters that require the involvement or approval of the ADNOC Group CEO

TEO Governance

  • Facilitate appropriate forums to enable the required engagements for TEO as well as the ADNOC Group CEO
  • Provide support in the development and lead the implementation of the governance framework and tools for the Executive Office such as the TEO Functional Manual and Operating Framework
  • Ensure adherence to processes and workflows within the Executive Office
  • Maintain a repository of documents relating to Executive Office governance including policies, procedures, standards and workflows
  • Lead the activities relating to the Enterprise Risk Management (ERM) requirements for TEO, including quarterly updates of the TEO risk register and risk input to the TEO Business Plan

Generic Accountabilities

Supervision

  • Plan, supervise and coordinate all activities in the assigned area to meet functional objectives.
  • Train and develop the assigned staff on relevant skills to enable them to become proficient on the job and deliver the respective business objectives.

Budgets

  • Provide input for preparation of the Function / Division / Department / Section budgets, assist in the implementation of the approved Budget, and work plans to deliver business objectives.
  • Investigate and highlight any significant variances to support effective performance and cost control.
  • Implement approved Function / Division / Department / Section policies, processes, systems, standards and procedures in order to support execution of the work programs in line with Company and International standards.

Performance Management

  • Contribute to the achievement of the approved Performance Objectives for the Function / Division / Department / Section in line with the Company Performance framework.

Innovation and Continuous Improvement

  • Design and implement new tools and techniques to improve the quality and efficiency of operational processes.
  • Identify improvements in internal processes against best practices in pursuit of greater efficiency in line with best industry standards in order to define intelligent solutions for issues confronting the function.

Health, Safety, Environment (HSE) and Sustainability

  • Comply with relevant HSE policies, procedures, controls, applicable legislation, and sustainability guidelines in line with international standards, best practices and ADNOC Code of Practices.

Reports

  • Provide inputs to prepare MIS and progress reports for Company Management.

COMMUNICATIONS & WORKING RELATIONSHIPS :

Internal

  • Regular contacts with concerned Line Management up to Directors and ADNOC Group CEO's office
  • Regular contacts with peer Vice Presidents and other Senior Staff within the Directorate on work related matters.
  • Regular contacts with Board secretaries and relevant departments and individuals within the Group as an interface between the Corporate Affairs and forums or entities that the Group CEO is involved in or has responsibilities towards.
  • Regular contacts with senior management in various Directorates and Functions across ADNOC HQ

External

  • Contacts with external entities as required.

QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS :

  • Bachelor's Degree in Accountancy / Economics / Finance or Business Administration.

Minimum Experience & Knowledge & Skills

  • 12 years of experience in Corporate Support / Corporate Affairs roles, preferably in Oil & Gas Industry, of which at least 5 years preferably in Big Four or international consultancy firm and 6 years in progressive managerial roles.
  • Company Secretary experience is preferable.
  • Expert understanding of governance, company secretarial practices, regional and international best practices and adequate knowledge of Companies law, applicable regulations, and corporate administration.
  • Ability to work under pressure and for prolonged times with heightened sense of deadlines and turn-around-times without compromising on quality of work / deliverables
  • Experience working directly with CEOs, senior Executives and senior government stakeholders
