Summary:

We are seeking a highly skilled and experienced Commercial Legal Officer to join our legal team. The successful candidate will be responsible for providing tailored legal support across all commercial matters for our subsidiaries. This includes overseeing contract negotiations, managing legal risks, ensuring compliance with relevant laws and regulations, and providing strategic legal advice to the management team.

Role Responsibilities:

  • Serve as the go-to legal advisor for subsidiary teams, providing day-to-day legal support and strategic guidance across various business functions.
  • Draft, review, and negotiate commercial contracts, including technology agreements, media-related agreements, NDAs, supply agreements, service contracts, and licensing agreements. Represent the company in negotiations with external parties and governmental authorities.
  • Develop and maintain standarised legal templates (e.g., contracts, agreements, policies), where necessary, to ensure consistency and efficiency across subsidiaries. Update templates to reflect any changes in laws, regulations, or company policies.
  • Provide legal advice and support on employment-related matters, including employee contracts, workplace policies, dispute resolution, terminations, and compliance with labour laws.
  • Identify legal risks within the subsidiaries operations and proactively advise on risk mitigation strategies to safeguard the company's interests.
  • Work closely with various teams across the subsidiaries, building strong, positive working relationships. Provide practical legal advice that supports business objectives while ensuring legal compliance. Collaborate with senior management and business leaders to understand the company's strategic objectives and provide tailored legal solutions.
  • Provide and/or review any legal opinions on a wide range of commercial issues, such as corporate governance, employment matters, intellectual property, and regulatory compliance.
  • Advise on legal compliance across all areas affecting subsidiaries, ensuring adherence to applicable laws and regulations, including corporate governance and industry-specific regulations.
  • Manage and resolve legal disputes or potential litigation involving subsidiaries, working closely with external counsel when necessary.
  • Provide guidance on corporate governance matters, ensuring compliance with corporate policies, shareholder agreements, and board-related matters.
  • Develop and implement policies and procedures to ensure compliance with local and international laws.
  • Stay updated on legal developments in commercial law and provide proactive solutions to potential legal challenges.

Skills & Required Qualifications:

  • A law degree from an accredited institution.
  • At least 8 years PQE in commercial law, preferably in-house.
  • Strong understanding of corporate governance and commercial contracts.
  • Proven ability to draft and negotiate complex contracts with a commercial mindset.
  • Strong communication and interpersonal skills, with the ability to interact effectively with senior executives and external stakeholders.
  • Experience in working in the UAE
