Key Responsibilities:
- Corporate Advisory Services:
- Provide legal advice on Commercial Companies Law, Foreign Exchange Laws, Corporate Governance, and Employment Laws in the UAE and GCC region.
- Advise clients on corporate structuring, mergers and acquisitions (M&A), joint ventures, and reorganizations.
- Transactional Support:
- Manage cross-border transaction advisory including M&A due diligence, deal structuring, drafting, negotiating, and reviewing transaction documents.
- Conduct legal research and prepare formal legal opinions using regulatory databases.
- Engage with government authorities, free zone authorities, and other regulatory bodies in the UAE to manage client requirements including licensing, registrations, and compliance matters.
- Contract Management:
- Draft, negotiate, and review a wide variety of commercial agreements including shareholder agreements, distribution agreements, service agreements, confidentiality agreements, and employment contracts.
- Compliance and Risk Management:
- Conduct legal due diligence for acquisitions and investments.
- Provide post-transaction compliance support, including corporate secretarial work such as drafting board resolutions, annual filings, and maintaining corporate records.
- Corporate Secretarial Support:
- Manage end-to-end corporate secretarial services, including company formations, renewals, shareholder changes, and related compliance.
Technical Skills Required:
- In-depth knowledge of UAE Commercial Companies Law, Employment Law, Free Zone regulations, and Foreign Exchange Laws.
- Strong understanding of cross-border transactions and regulatory requirements in the GCC region.
- Proficient in legal research, drafting, negotiation, and advisory services.
- Practical experience liaising with UAE government entities and regulatory bodies.
- Strong corporate governance and compliance skills.
Soft Skills:
- Excellent written and verbal communication skills.
- High level of professionalism and attention to detail.
- Ability to work under tight deadlines in a dynamic, fast-paced environment.
- Strong team player with a proactive and solution-driven mindset.
- Willingness to learn and adapt to new jurisdictions and client requirements.
- Arabic language skills (preferred but not mandatory).
