Job description

Legal Head- Investments and Acquisitions

The ideal candidate must have a leadership experience and strong expertise in commercial laws, mergers & acquisitions, joint venture agreements, transactional disputes, and dispute resolution mechanisms, including high-value transactions and project finance.

Legal Head Job Responsibilities:

• Draft, review, and prepare contracts and agreements related to the trade of commodities, loan agreements, bank facilities, and other legal documents, ensuring all legal risks are adequately addressed.
• Draft, review, and vet legal correspondence to protect the company’s interests.
• Assist in contract negotiations and revisions, ensuring the company's interests are adequately safeguarded and that laws and established policies are adhered to.
• Provide legal guidance and documentation support for high-value transactions, including project finance and mergers & acquisitions (M&A), ensuring compliance with legal standards.
• Identify, onboard, and manage external legal counsel to represent the company in third-party notices, litigations, and other legal matters.
• Brief external counsel and senior management on legal implications, advising on mitigation strategies based on applicable laws, jurisdictions, and arbitration locations.
• Advise and represent senior management on judicial matters, corporate disputes, transactional disputes, and significant legal issues in high-value transactions.
• Negotiate and/or prepare legal briefs, including applications, opinions, contracts, notices, and agreements.
• Develop long-term compliance strategies, ensuring legal and operational compliance with all applicable laws, regulations, policies, and procedures, while maintaining accurate filings with appropriate authorities.
• Ensure proper record-keeping and maintenance of the company’s legal documents and records.
• Rich experience in financial and corporate law, including dispute resolution, is highly preferredto manage complex legal matters effectively and provide comprehensive legal advice on commercial and investment activities.

Required Qualifications:

• Bachelor of Laws (LL.B) / Master of Laws (LL.M).
• 15-20 years of experience in corporate legal matters, with a strong background in high-value transactions, project finance, mergers & acquisitions, transactional disputes, commercial contracts, and litigation management.
• Strong expertise in corporate laws, transactional disputes, and dispute resolution mechanisms, including high-value transactions, project finance, and mergers & acquisitions.
• Rich experience in financial and corporate law, including dispute resolution, is preferred.
• Candidate must have experience and be based in UAE.
