Our Client

Our client is seeking a Legal Counsel to provide expert legal advice and guidance, ensuring their operations, contracts, and investments comply with applicable laws and regulations while safeguarding our interests.

Key Responsibilities :

• Provide legal expertise in investment structuring, M&A transactions, private equity, and financial services regulations.
• Ensure compliance with UAE laws, international regulatory frameworks, and industry best practices.
• Develop and enforce legal risk management frameworks to protect our clients interests.
• Advise on corporate governance, shareholder agreements, and regulatory matters.
• Lead legal due diligence for investment transactions, acquisitions, and joint ventures.
• Represent us in regulatory engagements, contract negotiations, and external legal matters.
• Drive automation and efficiency improvements in legal processes, contract management, and compliance monitoring.

Core Responsibilities :

• Draft, review, and negotiate complex contracts, investment agreements, and shareholder arrangements.
• Oversee legal aspects of asset management, fund structuring, and financial transactions.
• Manage legal risks related to cross-border investments, regulatory filings, and compliance requirements.
• Provide legal opinions on corporate governance, intellectual property, and commercial transactions.
• Ensure adherence to anti-money laundering (AML), anti-corruption, and data protection laws.
• Conduct risk assessments and provide strategic legal advice to senior management.

Education & Qualifications :

• Bachelor’s degree in Law (LLB) from a recognized university.
• Advanced degree (LLM, MBA) preferred.
• Admission to a recognized Bar Association or legal accreditation in a relevant jurisdiction.
• Certifications in corporate governance, compliance, or financial regulations are an advantage.

Experience Requirements :

• This is a full-time in office position in Abu Dhabi. Applicants but already be based in the UAE.
• Possess 8-12 years of post-qualification experience in corporate law, investment law, or financial services law.
• Strong expertise in investment transactions, private equity, fund structuring, and M&A.
• Experience advising on corporate governance, compliance, and regulatory risk management.
• Knowledge of UAE legal frameworks, financial laws, and regulatory bodies.
• Proven ability to manage complex legal negotiations, contract drafting, and transaction structuring.
• Strong experience working in asset management, financial institutions, or sovereign wealth funds preferred.
