A leading bank in the UAE seeks a Legal Counsel specializing in Derivatives and Structured Products. This role entails managing legal documentation, regulatory compliance, and supporting product innovation. With a focus on structured finance, the ideal candidate will have extensive PQE and a strong understanding of global financial regulations.
Job Overview
The Legal Counsel Derivatives and Structured Products - Abu Dhabi UAE will manage legal documentation and risk for Global Markets and Group Funding transactions, including structured notes, equity financings, TRS, repos, and securities lending. The role supports product innovation, regulatory compliance, and internal legal strategy in line with FAB s global objectives.
Key Responsibilities
* Draft and negotiate structured derivatives documentation across all asset classes (credit, equity, FX, rates, commodities)
* Review and finalize transaction documents for repos, structured notes, and securities lending
* Provide legal support for FAB s bond and structured note issuances under medium-term note programs (including Islamic formats)
* Advise on regulatory compliance related to EMIR, MiFID II, Dodd-Frank, and other applicable frameworks
* Oversee legal aspects of structured custody solutions and negotiate custody agreements
* Collaborate with the Global Markets Documentation Team on master agreements (ISDA, GMRA, CSA, MCA, etc.)
* Assist in the development of new financial products, reviewing legal risk and regulatory considerations
* Maintain and update FAB s template legal documentation in accordance with market practices
* Provide timely responses to legal queries from internal business units and senior management
* Monitor legal and regulatory changes and guide the business on required adaptations
* Offer legal support to FAB s subsidiaries and international branches on market and product risk
* Participate in industry forums (e.g., ISDA, ICMA) and promote internal legal education and training initiatives
Job Requirements
* Bachelor s degree in law from an accredited university
* Qualified solicitor in England or another common law or European jurisdiction
* Minimum 6 years of PQE in a top international law firm or global bank, including 4 years in a similar legal advisory role
* Expertise in structured products, OTC derivatives, repos, and custody agreements
* Strong understanding of global financial regulatory frameworks
* Excellent English drafting and negotiation skills
* High level of commercial awareness and ability to manage legal risk in fast-paced transactions
* Proactive, detail-oriented, and effective at stakeholder engagement
* Experience managing legal risk in cross-border financial services operations is an advantage
