Legal Counsel – Corporate & Trade Finance

Position Summary: In charge of providing legal support to all departments and business lines of the bank, with emphasis on Corporate Finance and Trade Finance.

Responsibilities

• Assisting in the negotiating documentation relevant to Conventional and Islamic financing transactions and highlighting any associated legal risk on such transactions.
• Assisting in standardising contracts, developing standard agreements and contributing to the approval of new activities and products, complex and cross border transactions (with emphasis on Corporate Finance and Trade Finance).
• Prepare, reviewing, drafting and negotiating legal documentation in relation to Banks day to day operations and activities.
• Coordinating and liaising with external Legal Counsels in providing legal services as and when required.
• Performing any other duties assigned by the Head of Legal.
• Developing awareness and training programs on legal risk aspects for Banks employees.

Legal and Regulatory Responsibilities

• Comply with all relevant legal, regulatory and internal compliance requirements, policies and procedures as issued.
• Comply with financial security requirements including but not limited to, the prevention of financial crime and fraud including reporting obligations to the Money Laundering Reporting Officers.
• Complete all mandatory training as required to attain and maintain legal, regulatory, market practise capability.
• Establish procedures and template for documents relating to specific activity.
• Participate in legal documentation working groups.
• Legal assessment and advisory on the mitigation of legal risks.

Experience

• At least 5 years of post-qualification relevant legal experience, either from private practise or in-house (in a financial institution) with extensive exposure to financing.
• Strong background in financing (3 or more years of experience negotiating LMA documentation) with an emphasis on corporate finance and trade finance.
• Strong knowledge in legal aspects/ documentation of trade guarantees.
• Familiar with the legal aspects of general banking activities.
• Familiar with Islamic banking transactions /documentation.
• Familiar with the laws of the GCC particularly the UAE.
• Familiar with DIFC laws.
• Common Law qualified advocate or lawyer.
