Your new role
As Legal Counsel (Corporate), your role will involve managing legal aspects of corporate mergers and acquisitions within the technology sector. Responsibilities include due diligence, drafting transactional documents, and mitigating legal risks. You will also contribute to corporate initiatives, provide training, ensure compliance, and collaborate with stakeholders to achieve strategic objectives while maintaining confidentiality.

Responsibilities
Reporting to the General Counsel, you will support the company's global acquisitions, investments, and strategic transactions. Key responsibilities include:

• Perform due diligence, draft, review, and negotiate transactional documents for M&A transactions in the technology sector.
• Assist in preparing M&A-related board and executive meeting materials.
• Review auction processes and new projects to mitigate risks.
• Advise on transaction structures with M&A, Strategy, and Finance teams.
• Assist with joint ventures, management share participations, and IPOs.
• Collaborate with internal teams and manage external advisors.
• Identify and mitigate legal risks related to projects and deals.
• Align M&A activities with company strategy, vision, and mission.
• Contribute to corporate matters and talent development within the legal team.
• Provide legal training to relevant departments.
• Maintain effective communication with internal and external stakeholders.
• Address challenges from rapid growth.
• Exercise financial authority as per policies.
• Refer significant decisions to the General Counsel for approval.

Minimum Requirements

• Bachelor's degree in Law; Master's preferred.
• Admission to practice in a recognized jurisdiction (preferably Common Law).
• 5+ years of M&A experience in a reputable or international law firm.
• Interest or background in technology or telecommunications is desirable.
• Strong understanding of complex transaction documents.
• Proficient in English; Arabic is an advantage.
