Job description

We are currently hiring a Legal Counsel for our Group's legal department in Dubai.

About Ghassan Aboud Group:

Ghassan Aboud Group is an international conglomerate engaged in several key business sectors including Automotive, Retail, FMCG, Hospitality, Logistics, Healthcare, Food production, Catering, and Digital Marketplaces.

Responsibilities in Brief:

To support the group's entities with day-to-day operational legal requirements such as drafting and reviewing of legal documents, governance and compliance functions and providing legal guidance to achieve business objectives.

Key Responsibilities:

  1. Drafting and reviewing of commercial and corporate agreements such as:
  • Distribution agreements
  • Supply agreements
  • E-commerce agreements
  • Annual maintenance agreements
  • Services agreements
  • NDA-MNDAs
  • Banking/finance agreements
  • Lease agreements
  • Logistics/warehousing and storage agreements

Handing corporate requirements for incorporation, post-incorporation and operations:

  1. Drafting company resolutions facilitating operations, corporate restructuring when required as well as new incorporations.
  2. Handling pre-incorporation documents and applications, mainly related to free-zone companies such as Jafza, ADGM, KEZAD.
  3. Handling post incorporation requirements:
  • Supervising external agents and attending to authorities
  • Monitoring active litigation case developments
  • Conducting due diligence and risk assessment for corporate and commercial engagements
  • Advising on matters pertaining to commercial and operational matters
  • Developing and maintaining internal records, reports (KPIs) and minutes of meeting
  • Conducting legal research and identifying and studying new laws along with its potential implications.

Required Qualifications & Skill sets:

  • Must hold an LLB degree with a minimum of 7 years of experience as a Legal Counsel in a corporate environment.
