Overview

We are currently seeking Legal Officer / Legal Counsel for our Group’s legal department in Dubai.

Ghassan Aboud Group is an international conglomerate engaged in Automotive, Retail, FMCG, Hospitality, Logistics, Healthcare, and Digital Marketplaces.

Job Purpose : We are seeking a highly qualified and motivated Legal Officer / Legal Counsel to join our legal team. The ideal candidate will assist the Group Legal Counsel in the day-to-day requirements of the Group Legal Dept and should possess extensive expertise in drafting, reviewing, and negotiating various commercial agreements, experience in restructuring and corporate practice ensuring compliance with applicable laws and regulations while effectively managing legal risks.

Required Qualifications & Skill sets :

  • Bachelor’s degree in Law (LLB) or equivalent; LLM or other relevant postgraduate qualifications are a plus.
  • Languages : English (fluent) - Arabic is advantageous but not necessary for this role.
  • Proven track record of expertise in drafting, reviewing, and negotiating commercial and corporate agreements.
  • In-depth knowledge of corporate governance, compliance, and incorporation processes, particularly in relation to UAE free zones.
  • Strong analytical skills with the ability to perform due diligence and risk assessments effectively.
  • Excellent communication and interpersonal skills, with the ability to provide clear legal guidance to non-legal stakeholders.
  • Ability to manage multiple priorities and work under pressure in a fast-paced environment.
  • Minimum 7 years of experience as a Legal Officer or Legal Counsel or in similar roles within a corporate environment handling commercial and corporate law matters.
Key Responsibilities

Contract Management : Draft, review, and negotiate a wide array of commercial and corporate agreements, including but not limited to distribution agreements, supply agreements, e-commerce agreements, annual maintenance agreements, service agreements, corporate banking and finance agreements, commercial lease agreements, and logistics, warehousing, and storage agreements.

Incorporation and Corporate Governance : Manage pre and post-incorporation requirements for new entities, including drafting company resolutions and facilitating corporate restructuring as necessary. Oversee new incorporations, ensuring compliance with all pre-incorporation documentation and applications, particularly for free-zone companies such as Jafza, ADGM, KEZAD, and DMCC. Address post-incorporation obligations and ensure ongoing compliance with corporate governance standards.

Due Diligence and Risk Assessment : Perform thorough due diligence and risk assessments on corporate and commercial transactions to identify potential legal issues and mitigate risks. Provide informed legal advice on various commercial and operational issues, ensuring alignment with business objectives and legal requirements.

Documentation and Reporting : Create and maintain internal legal documentation, including reports on key performance indicators (KPIs) and meeting minutes to track legal matters and activities effectively.

Legal Research : Conduct comprehensive legal research to identify and analyze new legislation and its potential implications for the organization.
