Job description

We are seeking an experienced Legal Counsel passionate about providing comprehensive legal consultation services to support our client who is a governmental organisation in Dubai, one of the largest construction companies in the country.

The Legal Counsel will be responsible for managing litigation, negotiating contracts, legislative drafting, and guiding the organization in its statutory duties.

Key Responsibilities :

  • Contract Management & Negotiation : Draft, review, and negotiate various contracts, ensuring they protect company interests and align with business objectives. Proactively address any contractual risks and collaborate with internal stakeholders for amendments and approvals.
  • Legal Advisory : Provide clear and actionable legal advice across departments on a range of issues, including regulatory compliance, intellectual property, and corporate governance. Serve as a trusted advisor for both preventative and reactive legal solutions.
  • Litigation & Dispute Resolution : Represent and support the company’s interests in legal disputes by developing case strategies, preparing documentation, and liaising with external counsel as needed.
  • Research & Compliance : Conduct thorough legal research on regulatory developments and industry-specific legislation to ensure ongoing compliance and minimize legal exposure. Offer insights on emerging laws that may impact business operations.
  • Corporate Governance Support : Collaborate with the Board and senior management to draft policies, resolutions, and governance frameworks that promote ethical and legally sound business practices.
  • Risk Assessment & Mitigation : Identify and assess legal risks related to transactions, partnerships, and business ventures. Provide actionable recommendations to reduce exposure and support sustainable growth.
  • Documentation Standardization : Develop and maintain a library of standardized legal documents, including templates for routine contracts, agreements, and internal memos, to streamline processes and promote consistency.
  • Cross-Functional Liaison : Work closely with Finance, HR, and Operations to address legal matters that impact multiple functions, ensuring a unified approach to compliance and risk management across the organization.
  • Mergers & Acquisitions (M&A) : Participate in due diligence for acquisitions, structuring deals, and preparing related documentation. Support post-merger integration to align acquired entities with company policies and legal standards.

Knowledge, Skills & Experience Required :

  • Bachelor’s degree in Law or a related field; a master’s or certification in a legal specialty is a plus.
  • Minimum 10 years of experience in legal consulting, preferably in construction.
  • Strong expertise in contract law, negotiation, arbitration, risk assessment, and FIDIC knowledge.
  • Excellent analytical and research skills, with a detail-oriented approach.
  • Exceptional communication skills, both written and oral, and the ability to build strong relationships across departments.
  • High level of integrity, accountability, and judgment.
