Job summary

GBM is seeking a Legal Associate to support the GBM Legal Department across GCC branches, providing general legal assistance and ensuring compliance with IBM-GBM agreements and export controls.

You will draft and review commercial agreements, advise on day-to-day contracts and RFPs, and coordinate with the Chief Legal Officer to obtain approvals, while maintaining the contracts repository and training stakeholders.

Responsibilities

• Supporting GBM sales operations by providing legal and commercially relevant advice for all GBM branches on day-to-day contracts, RFPs etc. up to set value.
• Reviewing and drafting a variety of commercial agreements independently or under supervision, including services agreements, localized business partner agreements, IT solutions implementation agreements.
• Understanding the relationship with IBM and other vendors for all aspects of the business and for negotiating terms and conditions.
• Aligning with GBM Chief Legal Officer to ensure compliance with GBM policies and obtain Executive Management approval for non-standard terms.
• Managing the GBM Contracts repository.
• Educating GBM branches stakeholders on contractual issues.
• Monitoring compliance regarding Export Regulations rules and communicating effectively with the appointed ERO.
• Providing general Legal Department support including ad-hoc specialist research and document management.
• Conveying legal advice and follow-up information to manager and internal business stakeholders.

Job Summary:

The Legal Associate Role is a contributor role to the GBM Legal Department with key accountabilities of general support to the Department / Manager in delivering effective legal assistance to the GBM branches in specified GCC countries onto their day-to-day operations, ensuring adherence to obligations under IBM-GBM agreements, and applicable Export Controls regulations.

Job Responsibilities:

• Supporting GBM sales operations by providing legal and commercially relevant advice for all GBM branches on day-to-day contracts, RFPs etc. up to set value;
• Reviewing and drafting a variety of commercial agreements independently or under supervision, including but not limited to services agreements, localized business partner agreements, IT solutions implementation agreements;
• Understanding the relationship with IBM and other vendors for all aspects of the business and for negotiating terms and conditions;
• Aligning with and operating under guidance of GBM Chief Legal Officer to ensure full compliance with GBM policies, and to obtain Executive Management approval for non-standard terms;
• Managing the GBM Contracts repository;
• Educating GBM branches stakeholders on contractual issues;
• Monitoring compliance regarding Export Regulations rules and communicating effectively with the appointed ERO.
• Providing general Legal Department support including ad-hoc specialist research (such as data law protection) and general document management (such as developing/maintaining a file management system)
• Conveying legal advice and follow-up information to manager and internal business stakeholders independently or in consultation with attorneys or external lawyers, regarding the legal implications, risks, and liabilities of proposed and actual policies, practices, and contractual situations.

Preferred Expertise:

• Minimum 3-7 years of experience.
• Background in a technology organization with relevant in-house experience.
• Good understanding of technology contracts.
• Exposure to a wide array of commercial contracts.
