Job Purpose
Manage and communicate all corporate governance policies and processes to monitor and ensure the company's compliance. Facilitate program and project management for all legal initiatives. Support the development and monitoring of the Legal and Compliance Function Strategy, aligning it with the Enterprise Strategy and Vision by establishing and tracking Key Performance Indicators (KPIs). Assist in attaining and monitoring the 5-Year Budget Forecast.
Key Activities, Responsibilities & Accountability
Governance and Board of Directors
- Lead the development, review, and implementation of corporate governance policies, procedures, Board and Committee charters, and other governance documents.
- Ensure governance documents align with industry best practices and organizational hierarchy.
- Oversee the governance framework, including committee structures, ensuring effective operation and compliance.
- Provide guidance to internal stakeholders on governance compliance.
- Conduct risk assessments to identify legal and regulatory gaps and suggest mitigation plans.
- Monitor compliance with governance policies and legal requirements; report on governance performance to senior management.
- Manage all duties related to the Secretary to the Board of Directors, including meeting preparations and follow-ups.
- Coordinate logistical support for visits by Board members and manage Board submissions and resolutions.
Strategic and Operational Planning
- Develop the Legal Function's 5-year integrated business plan, including resource planning.
- Ensure alignment of the legal plan with other enterprise functions.
- Implement KPIs derived from strategic plans within the Legal Function.
Performance and Report Management
- Oversee data collection and analysis for KPIs and performance reports.
- Address business performance issues through action plans.
- Conduct management reviews to assess performance and strategic alignment.
Professional Certifications
- Certified Board Secretary
- Lead Auditor Certificate
Qualifications
- Bachelor’s degree in Business Administration, Quality Management, Governance, Strategic Planning, or relevant field.
Experience
- Minimum 6 years of relevant experience.
Preferred
- Master’s degree in Governance, Quality Management, Strategic Planning, or related fields.
- 10 years of relevant experience.
