Legal Advisor

Responsibilities:

• Draft, review, and negotiate various legal documents.
• Provide strategic legal advice on transactions, mergers and acquisitions, joint ventures, partnerships, and other commercial deals.
• Structure and oversee corporate transactions, ensuring optimal legal frameworks and compliance with applicable regulations.
• Coordinate and supervise corporate restructurings, share issuances, capital adjustments, shareholder meetings, and board resolutions.
• Manage relationships and coordinate with external legal counsels and service providers across multiple jurisdictions.
• Advise and assist with compliance requirements including AML/KYC procedures in dealings with banks, agencies, consultants, and counterparties.
• Offer expert guidance on corporate governance, ensuring compliance with statutory requirements for board and shareholder meetings, corporate structures, and regulatory filings.
• Perform risk analysis, draft analytical reports, and develop practical solutions for identified legal risks.
• Regularly update and maintain company legal policies, ensuring ongoing compliance with legal and regulatory developments.

Requirements:

• Bachelor’s or Master’s degree in Law from a reputable, accredited university.
• Minimum 3 years of proven experience specializing in corporate law, specifically agreements and transactional documentation.
• Previous experience at an international law firm preferred.
• Demonstrated expertise in handling mergers and acquisitions, joint ventures, and general commercial agreements.
• Experience in the financial services industry, particularly aviation and MRO (Maintenance, Repair, and Overhaul) sectors, is highly desirable.
• Strong analytical, problem-solving, and multitasking abilities.
• Excellent interpersonal and communication skills.
• Ability to thrive in a fast-paced, dynamic work environment.
• Detail-oriented, organized, and capable of managing multiple simultaneous projects.
• Fluent proficiency in English & Arabic both written and verbal.
