Overview
A fast-expanding group of companies is seeking a proactive, hands-on, and commercially minded professional with a proven track record of being a cornerstone of the shareholders\' personal and business affairs, ensuring seamless governance, strategic growth, and robust compliance across multiple jurisdictions and regulatory frameworks. The group’s primary business lines include Financial Services, Trading Technologies, and Payments. Fluent English and Russian are essential. The finalist is ideally based in Cyprus, Malta, or the UAE, but candidates across the European Union will be considered. The position reports to one of the Co-Founders.
Core Responsibilities
- Corporate and Legal Affairs: Manage the corporate secretarial and administrative functions for all group entities, ensuring good legal standing in all relevant jurisdictions (including Cyprus, Malta, the UK, the BVI, the Cayman Islands, and the UAE).
- Economic Substance: Ensure entities meet economic substance requirements, proactively managing and documenting activities to ensure full compliance.
- Legal & Regulatory Oversight: Serve as the central point of contact for legal matters, liaising with external counsel and ensuring adherence to applicable laws and regulations, including regulatory obligations of investment funds domiciled in the Cayman Islands and BVI.
- Group Structuring: Advise on and implement optimal corporate and tax structures to support strategic objectives, including new entity establishment and restructurings.
Financial and Strategic Operations
- Tax Planning and Advisory: Develop and execute international tax strategies with external advisors to optimize the group’s tax position and ensure compliance.
- Group Financing: Lead and manage all group financing transactions, including negotiating terms and drafting documentation.
- Investor Projects and M&A: Lead evaluation, due diligence, and execution of new investment opportunities, mergers, and acquisitions, including financial modeling, deal structuring, and post-acquisition integration.
Shareholder and Family Affairs
- Shareholder Relations: Act as a trusted advisor to the three shareholders, facilitating communication, managing expectations, and ensuring alignment on key decisions.
- Management of Shareholders’ Affairs: Oversee a range of personal financial and legal matters for the shareholders, ensuring discretion and efficiency.
Qualifications and Experience
- 7–10+ years in a senior leadership role within a family office, private practice (law or accounting), or corporate services with multi-jurisdictional structure experience.
- Professional qualification in law, accounting, or related field (e.g., ACA, ACCA, CPA, or qualified lawyer). A postgraduate degree (MBA or LLM) is advantageous.
- Proven experience in corporate administration, economic substance requirements, and regulatory aspects of investment funds.
- Demonstrable expertise in mergers and acquisitions (M&A) and complex financial transactions.
- Exceptional communication, negotiation, and interpersonal skills with shareholders, external advisors, and internal teams.
- Strategic mindset with a hands-on approach to problem-solving.
