Head of Corporate Affairs, Maritime & Shipping Cluster

This position will play a vital role in supporting the Maritime & Shipping Cluster Board Secretary across all corporate affairs of the various companies in the Cluster and overseeing the legal corporate services function (creation of companies, documentation, PoAs), as required for all of the Maritime & Shipping Cluster Companies and JVs.

Responsibilities

  • Ensure board agendas, packs and other documents are shared with the Chairman and Board of each sub-cluster and M&SC Board in a timely manner.
  • Assist in the orientation of new board members and ensure to share timely, accurate and relevant information related to their performance and expected responsibilities.
  • Drive M&SC Group board meetings and sub-Clusters Board meetings to act in accordance with the applicable laws, policies, procedures, and standards.
  • Coordinate, under General Counsel’s guidance, and organize M&SC Shareholders’ meetings, prepare minutes and circulate the same in a timely manner.
  • Keep the board members up to date on the amendments or new laws introduced in UAE related to corporate governance and compliance.
  • Ensure all M&SC Group board meetings are recorded, minutes are prepared and documents are maintained with the relevant discussions and deliberations ensuring to be circulated to the relevant Board for approval and action on a timely manner.
  • Oversee the formation / dissolution of all the M&SC group companies, under the direction of the M&SC General Counsel, across all jurisdictions and maintain a central record of all such companies and its compliances with the relevant laws;
  • Manage logistics for special events or retreats involving the board members or executive team.

Qualifications

  • A minimum of a bachelor’s degree in law, Business Administration, Management or a related field
  • High level of proficiency in English and Arabic.
  • A minimum of 12 years of experience in a similar role

Required Skills

  • Experience at a senior level preferably in legal, corporate governance or non-profit organization.
  • High level of integrity with the ability to maintain the confidentiality of sensitive information discussed during board meetings.
  • Good knowledge of company laws, corporate services, board procedures, corporate governance practices and best practices.
  • Detail-oriented for accurately recording meeting minutes.
  • Strong interpersonal skills and the ability to collaborate effectively with individuals at all levels of the organization.
  • Strong organizational abilities to manage multiple tasks simultaneously without compromising accuracy or quality.
  • Proficient computer skills including MS Office Suite (Word, Excel, PowerPoint), email management tools, and virtual meeting platforms.
  • Excellent time management skills, able to prioritize tasks and meet deadlines.
