Job description

Legal Department Manager

• Provide direction and manage all legal staff in performing their delegated tasks.
• Set standards and performance measures. Conduct performance appraisals as per HR policy.
• Ensure that all legal staff acquire required skillsets, knowledge, and certifications through appropriate training and professional development programs (in coordination with Human Resources and Administration). Coach and counsel them as required. Encourage good communication among subordinates at all levels of staff.
• Monitor progress of all projects in the legal department through project status meetings, project tracking reports, measurement and analysis meetings, etc.

ORGANIZATIONAL RESPONSIBILITIES

• Develop the division's plans and operational budget.
• Contribute to the development and execution of the division's objectives and ensure alignment with the Group strategy.
• Provide inputs towards the development of the division's policies and procedures and ensure proper implementation.
• Prepare semi-annual reports on the department's results, outlining achievements versus plans, challenges faced, and suggestions for improvements.

FUNCTIONAL RESPONSIBILITIES

• Effectively handle legal and commercial aspects of various businesses of the Group, including contracts and legal documents.
• Provide legal advice on issues such as commercial contracts, dispute resolution, funding agreements, regulatory, employment laws, and compliance matters.
• Draft, vet, negotiate, and finalize various documents including Non-Disclosure Agreements, Land Lease Agreements, Facility Agreements, Joint Venture Agreements, Agency Agreements, Power of Attorney, Sale/Acquisition agreements, Engineering and Construction Agreements, and supplier contracts.
• Advise on minimizing liability and legal exposure for the Group's business activities.
• Take decisive actions on legal matters and advise management accordingly.
• Assess and advise to minimize risks and compliance issues, ensuring appropriate systems, controls, and processes are in place.
• Ensure the businesses comply with legislation related to data protection, intellectual property, etc.
• Research and analyze implications of case law, legislation, and regulations affecting the company, reporting findings to the Vice Chairman/CEO.
• Coordinate with governmental departments and authorities locally and internationally.
• Engage with banks and financial institutions regarding credit documentation, security arrangements, and financial structuring.
• Research and advise on legal structures for new companies or businesses in different jurisdictions, considering tax implications and incorporating entities like limited liability companies or SPVs.
• Advise management and senior executives on laws affecting the business, including commercial, intellectual property, civil, and criminal laws.
• Perform other duties as assigned by the direct manager.

Qualifications

• Master's Degree in Law.
• Minimum of 20 years experience in a diversified, reputable group of companies.
