Job description

The Central Bank of the UAE (CBUAE) is the supervisory and regulatory authority of the banking and insurance sector in the United Arab Emirates. With a mandate to enhance monetary management, safeguard financial stability and protect consumers through effective supervision of licensed financial institutions, prudent reserve management, robust financial infrastructure, and the adoption of digital technologies.

CBUAE is currently seeking a seasoned professional to lead and oversee the operations of the Board of Directors, Executive Committees, and other governance committees. The successful candidate will be responsible for ensuring the seamless execution of all governance-related activities, in alignment with corporate governance principles, ESG and sustainability frameworks, and organizational standards. This role plays a critical part in driving high-quality decision-making processes and ensuring effective communication across all governance bodies.

Key responsibilities include:

  • Provide strategic leadership to the General Secretariat, ensuring high performance and operational excellence.
  • Lead the design, development, and implementation of CBUAE’s corporate governance framework to ensure accountability, transparency, and compliance across the organization.
  • Oversee the scheduling, planning, and coordination of meetings, ensuring agendas, logistics, and documentation are efficiently managed.
  • Ensure compliance with internal policies, corporate governance guidelines, and regulatory requirements.
  • Provide subject-matter expertise on environmental, social, and sustainability-related risks and ensure their integration into CBUAE’s operations in line with global best practices.
  • Manage the preparation and quality assurance of all materials submitted to the Board of Directors, Executive Committees, and Sub-committees.
  • Supervise the preparation, review, and consolidation of meeting memoranda, supporting materials, and executive summaries.
  • Oversee all communications related to committee and board meetings, ensuring clarity, timeliness, and confidentiality.
  • Ensure accurate documentation, issuance, and dissemination of decisions from the Board and Committees, and follow up on their implementation.
  • Uphold the organization’s values and governance ethos in all meetings and engagements.
  • Ensure all approvals are in alignment with the current Delegation of Authority matrix.
  • Review and validate agendas and supporting documentation for all Executive Committees.
  • Coordinate the decision-making process outside scheduled meetings, ensuring proper governance procedures are followed.
  • Continuously enhance the operational framework and efficiency of the General Secretariat.
  • Develop internal capabilities within the Secretariat to support succession planning and sustained performance.
  • Lead ongoing improvements to Secretariat processes, systems, and documentation to support operational excellence.
  • Implement and manage a performance framework for Executive Committees to measure and improve effectiveness.
  • Lead projects and initiatives under the Governor’s Executive Office, ensuring timely delivery in collaboration with internal and external stakeholders.
  • Undertake additional duties and assignments as required, in alignment with organizational needs.

Position Specifications:

  • Master’s or Bachelor’s Degree in Business Administration, Management, Law, Accounting, or a related field.
  • Relevant professional certifications or memberships.
  • Minimum of 10 years of experience, including at least 5 years in a senior leadership role.
  • Prior experience in the role of board secretary in large organization including Risk, Corporate Governance, Legal Advisory
  • Excellent interpersonal, verbal and written communication skills
