Job summary

A leading company in the oil and gas sector is seeking a Corporate Secretary to oversee corporate governance and compliance. The ideal candidate will have a Juris Doctor or equivalent degree, with 4 to 7 years of experience in corporate law and governance. This role involves ensuring adherence to laws and regulations, preparing board meeting agendas, and providing legal advice on corporate matters. Proficiency in English and Arabic is required, along with strong analytical and communication skills.

Key Responsibilities :

  • Oversee corporate governance and secretarial practices, ensuring compliance with laws and regulations while promoting ethical conduct. This includes preparing board meeting agendas, organizing meetings, and taking minutes for board, committees, shareholders, and other corporate meetings.
  • Assist in developing and implementing corporate governance policies to ensure compliance with relevant laws. Ensure adherence to local, national, and international regulations governing corporate transactions, secretarial work, and M&As, including securities and antitrust laws.
  • Maintain and update the group entities’ statutory books and records, ensuring accuracy. Facilitate effective communication among stakeholders, committees, senior management, non-executive directors, and shareholders.
  • Prepare agenda resolutions, minutes, and necessary documentation within deadlines, coordinating with directors and members for approvals. Monitor changes in statutory and regulatory requirements related to governance and registration, taking appropriate action to ensure compliance.
  • Ensure that group entities comply with applicable regulations in their respective countries, primarily in the Middle East, east Asia, Africa and regions relevant to the business. Oversee timely incorporation, restructuring (including share transfers), or liquidation of entities as needed.
  • Promote effective corporate governance across all entities, standardizing processes and providing necessary training. Safeguard the confidentiality and protection of data, information, and intellectual property related to the role.
  • File necessary documents with registries and liaise with external regulators, including lawyers and auditors, annual reports and statutory filings.
  • Provide legal advice on corporate matters, including contract law, capital markets, regulatory compliance, and governance issues. Draft, review, and manage corporate documents such as shareholder agreements and compliance reports.
  • Ensure the group adheres to industry standards, particularly in health, safety, and environmental regulations relevant to the marine, energy, and engineering sectors. Perform other duties as assigned by the General Counsel and Legal Directors.
  • Carry out additional company secretarial responsibilities as required.

Qualifications :

Educational Background : Juris Doctor (JD) Bachelor of Laws (LLB) or equivalent legal degree from a recognized institution.

Experience : 4 to 7 years of legal experience, with a strong focus on corporate governance and secretarial works, corporate law and capital market, and regulatory compliance in the context of corporate secretarial, structuring, legal setups, M&A transactions and corporate governance ideally within a corporate environment or law firm.

Previous experience as a corporate secretary in a PJSC in the UAE is highly desirable.

Leadership : Demonstrated experience in leading legal teams and managing complex projects within a corporate setting.

Industry Knowledge : In-depth understanding of the legal frameworks governing marine business, logistics, and oil & gas EPC, construction and engineering, including familiarity with regulatory compliance and risk management practices.

Analytical Abilities : Strong analytical and problem-solving skills, with attention to detail and the ability to think strategically about legal issues.

Skills :

  • Proficient in using legal research tools.
  • Must be an excellent communicator. Strong attention to detail.
  • Ability to work with team members at all levels, regulators and other third parties.
  • Computer literate and capable with all MS Office products including Word, Excel, PowerPoint, and Microsoft Office Suite.
  • Ability to work effectively under pressure and manage multiple priorities simultaneously.

Knowledge : Deep knowledge of the Middle East, east Asia, Africa and regions relevant to the business legal and regulatory landscape, particularly in relation to corporate regulators, stock exchanges and financial markets.

Languages : Proficiency in both English and Arabic languages is required.
