Job Summary

As the Regulatory Affairs & Entity Corporate Governance Manager for North Europe and the Middle East, reporting to the Head of Regulatory Affairs & Entity Corporate Governance, you will oversee and ensure adherence to corporate governance principles, entity compliance, and regulatory requirements across our organization’s countries in Northern Europe and the Middle East.

You will collaborate with departments such as Legal, IT, HR, Operations, Finance, Risk & Compliance, and Employment Law, supporting compliance excellence, risk management, and strategic decision-making.

Key Responsibilities
  1. Manage governance frameworks supporting entity formation, dissolution, registration, and director/officer changes efficiently and compliantly.
  2. Ensure all entities comply with local laws and regulations.
  3. Maintain the company's entity management system, updating records of entity details, shareholders, directors, officers, and organizational charts.
  4. Lead strategic projects related to corporate governance, engaging with local regulators, law enforcement, and overseeing audits and discussions.
  5. Serve as a subject matter expert on governance and compliance, providing guidance internally.
  6. Manage relationships with third-party vendors for entity management and support KYC requests.
  7. Coordinate with teams for timely and accurate reporting and document filing.
  8. Monitor legal and regulatory changes, advising on impacts to the company.
  9. Conduct audits to identify compliance risks and recommend improvements.
  10. Develop systems, workflows, and policies to ensure ongoing compliance and effective recordkeeping.
  11. Manage external legal/regulatory relationships and ensure timely responses.
  12. Report compliance metrics to senior management.
  13. Uphold confidentiality and ethical standards.
  14. Develop and oversee budgets for governance and compliance initiatives.
  15. Stay updated on industry trends and best practices.
Qualifications
  1. Bachelor’s degree in law (preferred), Business, or related field.
  2. At least 10 years of experience in entity management, corporate governance, or related areas, preferably in multinational environments.
  3. Strong knowledge of corporate structures, compliance, and regulations in Northern Europe and the Middle East.
  4. Excellent organizational, project management, and communication skills.
  5. Proficiency in Microsoft Office and entity management software.
Preferred Qualifications
  • Professional certifications such as ICSA, CGEIT, or CRMA.
