Job Description

A boutique Private Equity Firm is seeking an M&A Buy-Side Associate to play a critical role in evaluating, executing, and integrating transactions.

  1. Deal Sourcing & Screening
    • Identify potential acquisition targets based on investment criteria.
    • Analyze industry trends and competitive landscapes.
    • Collaborate with bankers, brokers, and advisors to source deals.
  2. Financial Modelling & Valuation
    • Build DCF, LBO, merger models, and perform accretion/dilution analyses.
    • Assess valuation multiples (EV/EBITDA, P/E, etc.) and benchmark against peers.
    • Conduct sensitivity and scenario analysis.
  3. Due Diligence
    • Review financial statements, forecasts, and KPIs of target companies.
    • Assess quality of earnings (QoE), working capital, and debt structure.
    • Coordinate with legal, tax, and operational teams to identify risks.
  4. Investment Memos & Presentations
    • Prepare investment committee memos summarizing findings.
    • Present recommendations on deal progression.
    • Highlight synergies, integration challenges, and ROI potential.
  5. Deal Execution Support
    • Assist in structuring transactions (cash vs. stock, earnouts, etc.).
    • Collaborate with legal on term sheets, purchase agreements, and SPA reviews.
    • Coordinate with financing teams for debt/equity raising if needed.
  6. Post-Merger Integration
    • Monitor performance post-acquisition versus initial projections.
    • Support synergy realization efforts (cost savings, revenue uplift).
Key Skills Required

Education and Experience
